POSITION TITLE

Director, Corporate Development

POSITION OVERVIEW

The Director, Corporate Development will support the Company's growth through managing complex acquisitions, joint ventures and divestitures. They will work closely with our Chemicals, Floor Covering, Healthcare, and Textiles divisions to understand their strategies and M&A/divestiture needs. They will develop, perform and oversee the analysis of potential acquisition candidates, work closely with finance on complex financial modeling, and lead the negotiation, due diligence and execution of selected transactions.

JOB RESPONSIBILITIES

* Coordinate with each division and corporate strategists to manage the pipeline of target acquisition opportunities.

* Develop relationships and manage outreach to strategics, investment banks and private equity to source opportunities aligned with division needs - with emphasis on the materials sector.

* Monitor industry activities and develop recommendations of potential M&A opportunities to Senior Leadership.

* Contribute to all aspects of strategic acquisitions, from inception, business justification through due diligence, valuation, negotiation, closing and integration planning; and coordinate internal approval and communication processes for completion of a transaction.

* Working closely with a Senior financial analyst reporting to the Treasurer, oversee financial modeling and be able to explain complex financial models and other analytical work projects. Make recommendations based upon these analyses.

* Project manage due diligence efforts, and support integration teams prior to closure.

* Work closely with division leaders to manage divestitures, including preparation of sales material, valuation, outreach and negotiations.

QUALIFICATIONS - REQUIRED

* Bachelor's degree and at least 10 years of M&A transactional experience with proven track record of managing deals from inception to close

* Experience collaborating with internal business leaders and external partners to identify potential M&A deals

* Experience working with internal business leaders and external partners to identify, prepare and manage divestment processes

* Strong financial and strategic skills

* Willing to travel up to 25% of the time for business purposes

* MBA or Master's degree in Finance

* Specialty chemical or industrials experience preferred

* CPA, CFA, or other designation preferred

* Build, critique, and refine financial models with strong financial, quantitative and analytical skills and provide and defend valuation recommendations

* Have strong interpersonal skills and interact at multiple levels

* Exemplify humility in leading teams to difficult goals, with an apolitical and non-bureaucratic approach

* Be able to work in tactical and strategic realms, addressing commercial, financial risk and legal issues

* Prioritize effectively in real time, multi-task on several projects and have strong organization skills

* Have solid understanding of legal deal terms and alternative approaches to risk allocation
