Job Purpose

This role provides high-quality, sophisticated legal advice and counseling in the areas of complex contract, procurement, commercial financing (including dealer floorplan support), capital market transactions (including asset backed securitization and public debt), corporate governance, and general business matters in a timely and cost-effective manner for American Honda Finance Corporation (AHFC) and any related subsidiaries. From time to time, this role also will provide services to directly support AHM's sales operations and Law & IP projects. [Specific tasks can include analyzing and commenting on master service agreements with key vendors, determine key contractual terms that will best support business operations objectives, and advising business operations on negotiation points in establishing contractual relationships with third-parties.] The Counsel II; Sr. Principal will research and review, revise, and draft contractual agreements with AHFC vendors, advise on business transactions with Honda and Acura dealers, conduct legal analysis and advise on new Honda ventures including newly launched Honda companies and ventures.

Key Accountabilities

  • Support procurement efforts including contract drafting, revision, execution, and enforcement of agreements between AHFC, any subsidiary, and its vendors. This will require independent analysis in order to advise AHFC in all areas of contracting. These efforts will be conducted in a timely and cost-effective manner that allows AHFC to achieve business goals while also meeting its legal obligations and mitigating or reducing risks.
  • Require the skillset, knowledge, and experience to support AHFC's commercial financing concerning a nationwide dealer network. This position will counsel AHFC in furthering these critical business relationships including but, not limited to, floor planning, buy/sell, and utilizing litigation as a method to protect AHFC. These efforts will be conducted in a timely and cost-effective manner that allows AHFC to achieve business goals while also meeting its legal obligations and mitigating or reducing risks.
  • The Counsel II, Sr. Principal will immediately apply and continue to develop knowledge of capital market transactions by working with outside counsel and understanding key North American operations in order to best advise AHFC on securitization and public debt transactions. These efforts will be conducted in a timely and cost-effective manner that allows AHFC to achieve business goals while also meeting its legal obligations and mitigating or reducing risks.
  • Responsible for exercising excellent judgment in advising AHFC concerning corporate governance matters.
  • Provide counsel on general compliance matters relevant to AHFC when needed.

Qualifications, Experience, and Skills

  • Juris doctorate from an ABA-accredited law school and member in good standing of the bar of the state where practicing
  • California state bar admittance
  • 7-10 years in a major law firm or similar in-house experience with primary focus on contract negotiation and drafting
  • Commercial transactions or capital market transactions or corporate governance preferred
  • Excellent oral and written communication skills, strong leadership abilities, able to motivate team, problem solving, strategic thinking, customer satisfaction, building relationships, coaching, decision-making, risk analysis, flexibility/adaptability, patience, listening, risk taking, focusing on achieving results and supporting others achieve results, legal technical knowledge.
  • Capable of cultivating knowledge in Honda business operations and application of legal counsel to Honda's finance company
  • Excellent people management skills and ability to work well in a team environment are required
