Assistant General Counsel, Export Compliance

Job Description:

Entegris, a leading supplier of advanced materials and process solutions for the semiconductor and other high-technology industries, is seeking an experienced, full-time Trade Compliance Counsel, to join its well-regarded and fast-paced Law Department.

This newly created role may be located at one of Entegris US locations or may be remote with travel to headquarters in Billerica, MA, and reports to the SVP, General Counsel and Secretary. The position will have a wide range of responsibilities, including advising and counseling on the Corporation's trade compliance program, providing advice and counsel to our global business teams, and working collaboratively with leadership to ensure effective and efficient business processes and operations. This is a high-profile role that will have visibility of and partner with the Company's senior leadership team.

JOB RESPONSIBILITIES

  • Strategic advisor to the Company's trade compliance program, including compliance and licensing matters under applicable U.S. and foreign laws and regulations, including the Export Administration Regulations (EAR), International Traffic in Arms Regulations (ITAR), and the Office of Foreign Assets Control (OFAC) sanctions regulations, anti-boycott regulations, Foreign Trade Regulations, and Customs regulations

  • Advising on and developing the Company's trade compliance program, policies, and procedures

  • Providing day-to-day legal advice and assistance on trade compliance matters and working with personnel across the Company to ensure ongoing compliance

  • Performing analyses to determine export licensing jurisdiction, export classifications, and tariff classifications of products, software, and technology and advising on export licensing, commodity classification, and commodity jurisdiction requirements

  • Supporting export licensing and authorization activities

  • Reviewing trade compliance matters in connection with potential international business transactions

  • Collaborating with stakeholders in various functional areas and business units and developing compliance strategies, procedures, and controls

  • Liaising with U.S. Government officials on licensing, authorization, and regulatory matters

  • Conduct trade-related audits

  • Liaise with external counsel and regulatory agencies

  • Support M&A initiatives

  • Supporting duty drawback activities and other import and customs compliance matters; and

  • Handling other duties as assigned

JOB QUALIFICATIONS

  • JD degree from an American Bar Association accredited law school

  • Admitted in good standing to practice law in at least one state in the U.S.

  • Minimum of five years' experience as an attorney with experience at a large law firm

  • Must have excellent interpersonal skills with demonstrated ability to work as part of a high-performing team

  • Broad knowledge of trade compliance laws and regulations applicable to the Company's business, including ITAR, EAR, and OFAC sanctions regulations.

  • Significant experience in the practical application of export control and economic sanctions laws and regulations to a wide variety of global business situations.

  • Experience advising clients in complex global businesses

  • Requires a proven ability to balance multiple priorities, work independently, and meet deadlines

  • Excellent judgment

  • Candidate demonstrates a breadth of diverse leadership experiences and capabilities including: the ability to influence and collaborate with peers, develop and coach others, oversee and guide the work of other colleagues to achieve meaningful outcomes and create business impact.

  • The ability to travel to support our global business, up to 20%, is an essential function of this role.
