The Associate Attorney is subject to the oversight of the Chief Legal Officer and is responsible for providing counsel and services to the Company with respect to legal matters, including, without limitation, general corporate, commercial, banking and regulatory matters and complex contract drafting and review. This involves working closely with other departments and personnel throughout the organization who may be involved with or impacted by the applicable legal matter. Performs other projects and duties as assigned. Essential Functions, Duties, and Responsibilities: * Advise regarding general corporate, commercial, banking and bank regulatory matters. and compliance * Assist with management of litigation matters, including coordinating discovery responses. * Review and comment on draft contracts, including nondisclosure agreements, service agreements, employee agreements, vendor agreements, leases and licenses and various customer account documentation. * Review legal documents relevant to banking and lending transactions, including borrower organizational documents and trust documentation, as needed. * Assist with review and preparation of Company policies, procedures and guidelines. * Assist with management of litigation matters. * Assist with preparation of Legal department reports. * Assist with preparation of document templates. * Engage with outside and opposing counsel, as appropriate. * Advise regarding developments in applicable laws and regulations. Required Knowledge, Skills and Competencies: * Passing score on an appropriate state bar exam and receipt of a license to practice law from an appropriate state. * No state bar (or comparable governing body) disciplinary record. Industry and Work Experience: * Minimum of 5 years of associate-level experience in a typical law firm or corporate in-house legal department, with financial institution employment or representation experience. Academic: * Juris Doctorate degree from an American Bar Association-accredited law school required.
