This role will have a wide range of legal responsibilities across the organization, including drafting sales, supply chain, and vendor contracts, supporting clinical activities, monitoring contractual compliance, and helping to prepare various policies and procedures.

How you will contribute

This role will provide you with the opportunity to contribute to the growth of our organization and develop your professional skills by performing the following...



  • Draft and advise management on a broad range of commercial agreements with hospital and group purchasing organization (GPO) customers, suppliers, licensors, lessors, distributors, financial institutions, health care professionals, and research partners, among others.
  • Prepare and update Company templates to reflect changes in law and best practices, including sales contracts, clinical trial agreements, material transfer and non-disclosure agreements, employment and consulting contracts, and other standard corporate forms.
  • Monitor compliance with applicable state and federal securities laws and with the Company's charter documents and investor agreements in connection with various securities transactions, including equity incentive awards, stock redemptions, stock transfers and distributions.
  • Oversee maintenance of organizational and stockholder records of the Company and its subsidiaries.
  • Maintain the Company's contract lifecycle management system and ensure all agreements are appropriately cataloged.
  • Review sales, marketing, and operational practices for compliance with applicable healthcare industry rules, regulations, and reporting, including, but not limited to FDA regulations, FCPA, AKS, and HIPAA.
  • Support the Company's HR function on various employment law issues, as needed.
  • Support the Company's Senior Counsel personnel on various issues, as needed.
  • Interface with outside counsel on litigation, international issues, and regulatory matters, as directed by the General Counsel.



What you bring to the role



  • J.D. degree from an ABA-accredited law school, with excellent academic credentials, and admitted to practice in one or more U.S. jurisdictions, preferably California.
  • Practicing attorney with 3-5 years' experience in general corporate, commercial and/or transactional work at a top-tier law firm or corporation. In-house experience is desirable but is not required.
  • Experience in the healthcare or life science industries preferred.
  • Excellent writing skills with strong attention to detail, and heavy and varied drafting experience.
  • Ability to allocate attention to changing business priorities with little or no supervision in order to support the Company's critical functions.
  • Skilled at all levels of contract lifecycle management.
  • First-rate communication skills, with an ability to provide clear and timely risk assessments to the business team and explain legal concepts to non-lawyers.
  • Strong work ethic and ability to produce high quality work under deadline pressures.
  • Strong interpersonal skills, including flexibility and the ability to communicate with a variety of colleagues including leadership.
