Senior Manager, Executive Compensation

Position Summary:

Reporting to the VP, Total Rewards, The Senior Manager, Executive Compensation is an integral member of the Human Resources team, responsible for the analysis, design, implementation, and administration of executive compensation programs for senior leaders, including C-suite executives. This role ensures that compensation packages are competitive within the market, align with organizational objectives, and comply with legal and regulatory requirements. The Senior Manager will also oversee equity plan administration, ensuring proper equity allocation, regulatory compliance, and the timely execution of equity grants. Working collaboratively with HR, legal, finance, and external compensation consultants, the Senior Manager plays a crucial role in crafting compensation strategies that attract, motivate, and retain top executive talent.

Key Responsibilities Include:



  • Prepare sections of the proxy statement, including CD&A, proxy tables, CEO pay ratio and pay for performance.
  • Manage the administration of global LTI equity-based compensation programs, including time and performance-based equity, ESPP, award agreements, and equity plan governance.
  • Prepare materials for Compensation Committee meetings in partnership with the VP, Total Rewards and external executive compensation consultant.
  • Forecasts and monitors the company's equity spend and burn rate to advise senior executives and the Compensation Committee
  • Collaborate with Compensation Consultants to conduct market analyses of executive compensation packages including review of survey data, public-company proxies and other SEC filings
  • Manage Board compensation program including equity grants and cash retainer/fees.
  • Complete required SEC filings including Forms 3 and 4, provides data needed for other filings including 10-Q and 8-K.
  • Manage company trading windows including employee communications and coordinating with recordkeeper.
  • Work with legal and payroll teams to ensure compliance with global and local regulations related to equity plans, including tax laws, securities regulations, and reporting requirements.
  • Complete market analyses for executive roles (VP+) including new hire offers, promotions and adjustments.
  • Develop communications and training materials to ensure that executive and equity compensation plans are understood and valued by participants.
  • Monitor executive stock ownership and prepare ad hoc reporting for the Compensation Committee.
  • Review and oversee operation of key controls and audit activities pertaining to executive rewards.


Education, Registration & Certification:



  • Bachelor's degree in business, HR or a related field or the equivalent combination of experience is required.


Experience:



  • 5+ years of executive compensation experience in a publicly traded company or consulting firm.
  • Equity administration experience desired.
  • Prior experience in the Biotech industry is preferred but not required.


Skills, Knowledge & Abilities:



  • Familiarity with corporate governance practices and executive compensation disclosure requirements.
  • Strong knowledge of regulatory compliance (SEC, IRS, tax law), particularly as it pertains to equity-based compensation.
  • Strong organizational skills and attention to detail.
  • Superior written and oral communication skills.
  • Ability to handle sensitive compensation data with discretion.
  • Strong analytical and problem-solving skills with the ability to interpret complex compensation data and make actionable recommendations.
  • Demonstrated ability to collaborate and participate on multi-disciplinary teams.


Physical Demands and Work Environment:




  • This is largely a sedentary role; however, some filing is required. This would require the ability to lift files, open filing cabinets. This job operates in a professional office environment and routinely uses standard office equipment such as computers, phones, photocopiers, filing cabinets and fax machines.



Travel Requirements:




  • Up to 15% travel expected.
