Position Overview:
The Director of Executive Compensation will lead the design, implementation, and management of executive compensation programs and oversee the analysis and Compensation Committee materials. This role requires cross-functional collaboration with legal, finance, and executive leadership to ensure competitive and compliant compensation strategies that align with the company's long-term business objectives. In this role, you will support our executive and senior leaders globally through their compensation journey at PTC

Key Responsibilities:

Executive Compensation Strategy & Design:

  • Develop and implement comprehensive executive compensation strategies, including base salary, short-term and long-term incentive plans, aligned with the company's business objectives.

  • Ensure competitiveness by benchmarking compensation practices against industry standards and advising on trends in executive compensation within the software/tech industry.

Board & Compensation Committee:

  • Prepare materials and presentations for the Compensation Committee and Board of Directors, providing recommendations and insights on compensation practices.

  • Lead and prepare the CD&A and partner with stakeholders.

  • Act as the primary point of contact for executive compensation matters.

Legal & Regulatory Compliance:

  • Ensure that all compensation programs are compliant with relevant regulatory and legal requirements, including SEC filings, tax laws, and other industry-specific regulations.

  • Collaborate with legal partners to stay up to date on evolving legislation affecting executive and general pay practices.

Partnership with Finance:

  • Work closely with the finance team to model and forecast executive compensation costs and impacts on financial performance.

  • Partner with finance to analyze the financial implications of compensation strategies, including equity dilution and financial reporting requirements.

Leadership & Development:

  • As an individual contributor, you will have the ability to work closely and collaboratively on a high-performing team.

  • Stakeholder Collaboration:

  • Partner with HR, legal, and finance to ensure smooth execution and communication of compensation programs across the organization.

  • Lead compensation surveys and market analysis to drive insights for the executive team and shareholders.

Compensation Policy Management:

  • Oversee the administration of executive and broad-based compensation programs, including equity management, vesting schedules, and performance tracking.

  • Provide ongoing education to the executive team regarding compensation structures and compliance.

Qualifications:

  • Bachelor's degree in finance, business, or a related field; advanced degree or certifications in compensation (CCP, CEP) are preferred.

  • 10+ years of experience in executive compensation, ideally within enterprise software or technology companies. 5+ in progressive leadership roles.

  • Proven experience interacting with executive leadership and preparing board level materials for the compensation committees.

  • Strong knowledge of executive compensation regulations, including SEC filings, proxy statements, and tax considerations.

  • Excellent financial modeling and analytical skills.

  • Outstanding written and verbal communication skills, with the ability to present complex information clearly and persuasively to senior leadership and board members.
