Blue Yonder Job Title: CVP, Deputy General Counsel, Ethics & Compliance Synonymous Job Title: CVP & Deputy General Counsel Location: US - Remote Overview: As the Head of Compliance at Blue Yonder, you will be entrusted with the responsibility to lead and manage our Ethics & Compliance Program, serving as the authoritative figure on all ethics and compliance matters. This pivotal role demands the cultivation of relationships, strategic oversight across diverse business functions, and a keen anticipation of evolving risks in the global market. Reporting directly to our General Counsel, you will operate within the Legal department, shaping the ethical foundation of our company. What You'll Do: Lead, expand, and oversee our global Ethics & Compliance Program.
- Provide expert guidance and proactive legal counsel on a day-to-day basis regarding ethics and compliance issues.
- Manage the company's global ethics helpline, including development and implementation of an investigations playbook and training, conducting investigations, and reporting on trends.
- Regularly review, draft, and implement compliance related policies, procedures, and internal guidance, ensuring alignment with updated local laws and addressing priorities within the Ethics & Compliance Program.
- Manage compliance related aspects of merger and acquisition activity, including diligence of targets' compliance programs, developing integration plans, and implementing Blue Yonder compliance policies and procedures post-closing.
- Implement and manage all compliance-related training programs.
- Develop and implement effective monitoring of compliance across the organization, measuring Ethics & Compliance Program activity to provide insightful assessments of program effectiveness and organizational risk.
- Enhance communication strategies, increasing awareness and promoting a culture of compliance and integrity throughout the organization.
- Collaborate with Internal Audit on Enterprise Risk Management programs and initiatives.
- Lead the global Corporate Compliance Committee, providing oversight for regional committee agendas and purposes.
- Present reports for the executive team and the Board of Directors on compliance, regulatory matters, initiatives, and risks.
- Develop and foster strong cross-functional relationships to assess and anticipate emerging risk areas across the company.
- Stay abreast of changes in global regulations impacting compliance related aspects of the business and advise stakeholders accordingly, including development and implementation of related training and processes.
- Lead and/or support other Legal department initiatives as required.
Export Compliance, Sanctions Screening, and Third-Party Due Diligence
- Ensure compliance with export control laws and regulations by overseeing and enhancing the export compliance program.
- Oversee the sanctions screening processes to identify and mitigate risks related to restricted parties, countries, and activities.
- Conduct risk assessments related to third-party engagements/third-party intermediaries, implementing controls to mitigate identified risks.
- Stay informed about changes in export control laws, sanctions regimes, and third-party due diligence requirements, and update the compliance program accordingly.
- Collaborate with cross-functional teams to integrate export compliance, sanctions screening, and third-party due diligence into business processes.
- Provide guidance to business units on export compliance, sanctions, and third-party due diligence matters, fostering a culture of awareness and adherence.
What We Are Looking For:
- Law degree from an accredited school and membership in good standing in any state bar.
- 10+ years of experience focused on designing, managing, and implementing global compliance programs, including compliance investigations (experience in the tech field or with a SaaS/software company preferred).
- Strong experience in common compliance practice areas for global companies, encompassing ethics, anti-corruption, antitrust, conflicts of interest, data privacy, export, and corporate investigations.
- Knowledge of best practices in structuring and maintaining best-in-class ethics and compliance programs, incorporating effective technology solutions and analytics for monitoring.
- Ability to communicate effectively and gain cooperation across various organizational levels, including senior leadership.
- Demonstrated track record of successfully managing teams and handling complex projects.
- Experience in employment law and litigation and compliance with government contracting requirements (FAR/DFAR) preferred.
- Experience reporting to a board of directors of a publicly listed company preferred.
#US-REMOTE ------------------------------------------- The salary range for this position is: $219,312.97 - $290,000.00 USD The salary range information provided, reflects the anticipated base salary range for this position based on current national data. Minimums and maximums may vary based on location. Individual salary will be commensurate with skills, experience, certifications or licenses and other relevant factors. In addition, this role will be eligible to participate in either the annual performance bonus or commission program, determined by the nature of the position.
