We are actively seeking a highly motivated, innovative and experienced leader to join our team as the Assistant General Counsel. Compensation will be commensurate with experience.

Position Summary:

The Assistant General Counsel is responsible for providing legal advice, counsel and services that ensure the organization is operating in compliance with regulations. Anticipates and guards against legal risks involving the organization. This position reviews, draws up contracts related to provider agreements, management agreements, licenses, purchases, employment, insurance, and other matters. This position studies proposed, and existing legislation affecting the organization and advises with departments concerned. Has primary transactional drafting and negotiation responsibilities on deals; provides ongoing legal counsel and contract interpretation for senior executives and other business team members.

Responsibilities:

Drafting and Contracting

  • Review, draft, and negotiate agreements/contracts, including provider, subcontracts, master agreements, request for proposals, statements of work etc.) for all business areas.
  • Contribute to the development and implementation of corporate policies and procedures, including compliance and regulatory guidelines for NYC.
  • Serve as attorney liaison between the organization and customers/vendors, including participation in pre-contract discussions, contract negotiations and contract changes.
  • Monitor the contract process to assure compliance with applicable regulatory requirements, organizations contractual guidelines, satisfaction of customer specifications, and adherence to company policy.

Business Partnership: Legal Guidance and Support

  • Develop, maintain, and enhance positive working relationships with internal and external stakeholders.
  • Serve as subject matter expert and provide information, guidance, and support in alignment with Medicaid in a SNP (Special Needs Plan)
  • Participate in other legal projects as directed, including managing legal issues that arise in existing relationships and managing pre-litigation legal disputes and inquiries.

Manage Risk

  • Manages risk and ensuring business and compliance needs are accurately reflected in agreements.
  • Keep up to date on trends in legal compliance to anticipate and/or respond to external threats and changes to the legal environment; direct the assessment of potential impact to the organization.
  • Provides legal advice, counsel and services that ensure the organization is operating in compliance with regulations and that regulatory reporting requirements are met including investigating and resolving compliance problems and responding to questions from the business and regulatory agencies
  • Provides thought leadership on the development and implementation of operational and risk management processes and procedures related to Amida Care's business.
  • Coach and mentor, as needed, staff and team members engaged in the development, drafting, negotiating, and modifying of contracts and agreements.
  • Manages other contractual, regulatory, litigation, corporate or real estate matters as requested.
  • Perform other duties as assigned.

EDUCATION REQUIRED

  • Bachelor's degree or an equivalent combination of education and related job experience required.

EXPERIENCES AND/OR SKILLS REQUIRED

  • 5 to 10 years of relevant contract, negotiation, and regulatory experience in New York City.
  • New York State Medicaid experience preferred.
  • Incumbents must remain a Member of the New York State Bar in good standing for the duration of this employment.
  • Ability to effectively interact with senior management, outside counsel, state insurance departments, business partners and counterparties.
  • Excellent communication and interpersonal skills.
  • Demonstrate understanding and sensitivity to multi-cultural values, beliefs, and attitudes of both internal and external contacts.
  • Demonstrate appropriate behaviors in accordance with the organization's vision, mission, and values.
