The Opportunity

We are seeking a highly skilled legal professional to join our team. The Legal Counsel - Corporate & Securities, under the direction of the Associate General Counsel & Corporate Secretary, will collaborate closely with various corporate functions such as Investor Relations, Marketing, Human Resources, IT, Tax, Treasury, Finance, Risk, Sustainability, and Communications.

In this role, you will provide legal support and guidance, aid in the preparation and review of public company disclosures, and ensure continuous disclosure obligations are met under U.S. and Canadian securities laws. Additionally, you will maintain compliance with the rules of the NYSE and TSX, manage business risks, and offer advice on a wide range of legal and strategic matters, acting as a business partner to the organization.

What You Will Do

* Draft, review and negotiate documentation related to launch and execution of public offerings (equity and debt) in Canada and the U.S.
* Provide legal support and counsel to finance, treasury and tax functions that may include banking and credit agreements, capital markets transactions, bond indentures, inter-company cash management and other finance and transactional matters; negotiate, draft, review and advise on related documentation
* Provide legal support and counsel on public and private acquisition and divestiture transactions
* Assist the Human Resources team on executive compensation, benefits and employment matters and providing legal advice related to executive compensation disclosures and employment matters broadly
* Advise on equity incentive plans and operations
* Oversee compliance with equity ownership and retention guidelines
* Draft legal memoranda relating to corporate and securities law issues
* Draft or participate in the preparation and review of continuous disclosure and securities filing documents
* Manage compliance with SEC, Canadian securities regulators, NYSE, TSX and other corporate legal requirements, and the Company's insider trading program
* Advise on disclosure matters, including press releases, earnings materials, investor presentations, and other external communications

    Minimum Qualifications
    * Legally authorized to work in the United States
    * Law Degree from an accredited law school
    * 5+ years of experience in Securities Law and SEC reporting at a nationally recognized law firm and/or public company
    * A team player who is excited to work collaboratively within our legal team and our client groups
    * Demonstrated ability to communicate (verbally and written) with all levels of internal and external customers
    * Exhibits keen judgment and risk management capabilities, adeptly balancing business requirements, regulatory obligations, and reputational risks in an objective, practical way
    * Strong business acumen and the ability to align legal strategies with South Bow's overarching business objectives
    * An adept problem solver and comfortable using independent judgment and owning processes and decisions
    * Proven ability to manage multiple competing priorities within tight timeframes
    * Demonstrated ability to both grasp the "big picture" and attend to details

    Preferred Qualification
    * Familiarity with Canadian and US securities laws and the rules of the TSX and NYSE
