Contracts Manager

Summary

The Contract Manager role is responsible for preparing, negotiating, and recording business contracts (including customer contracts, subcontracts for projects, master service contracts with vendors, and charter agreements including manned and bareboat) on behalf of Callan Marine Ltd. This role is also responsible for the review of all (sub)contracts entered into by the Company and maintaining updates, renewals, and/or extensions.

Role and Responsibilities

  • Manage the contracting process from initial fact-checking, i.e., scope, schedule, and price with sales and payment status with accounting, to final execution and/or termination of contract.
  • Review, red-line, and negotiate terms, within company guidelines, for both internal and external customers to mitigate contractual risk in customer construction and/or dredging contracts.
  • Review and prepare routine contract documents for all subcontractors and third-party entities by corporate policy.
  • Manage or assist in the resolution process of any contract-related disputes or issues that arise.
  • Regularly meet with and assist project teams with active contract management and strategy proactively before change orders.
  • Work with the Risk Management group on aligning Company and Customer Insurance requirements and risks with vendors, suppliers and subcontractors.
  • Maintain good communication with all need-to-know parties, updating contract status and addressing any concerns.
  • Review and analyze significant, and/or unique contract solicitations, requirements, special provisions, terms, and conditions to ensure compliance with appropriate laws, regulations, and company policies and/or procedures.
  • Guide negotiation strategy and participate with a team on complex contractual issues.
  • Assess new laws, regulations, and contract trends for potential impacts on company goals and objectives.
  • Offer guidance to various business departments on company goals and objectives relating to contract activity.
  • Manages and performs identification, development, and implementation of new contract policies and processes.
  • Executes routine correspondence with all contract documentation to ensure timely and coordinated submittals.
  • Prepares, organizes, and maintains contract records and files documenting contract performance and compliance.
  • Demonstrate ability to work independently.
  • Performs other tasks as assigned.

Qualifications and Education Requirements

  • Bachelor's degree in a business, law, finance, or related field
  • 3+ years of experience in the construction industry
  • 3+ years of experience in dredging and/or a maritime industry
  • 5+ years of experience in contract negotiation (preferred)
  • Must have good understanding of the business including financial/analytical issues and profit and loss implications.

PHYSICAL/MENTAL REQUIREMENTS

The employee must perform the job's essential functions with or without reasonable workplace accommodation.

The individual must also be able to wear and properly utilize appropriate personal protective equipment (PPE) to work or visit areas where it is required. This includes a hard hat, safety glasses, life vest, respirators, ear plugs, steel-toed shoes, personal flotation devices (PFDs), or other protective equipment as required by the work performed and the location the work is being done.

In addition, the employee must also be capable of:

  • Walking, stepping, climbing, or otherwise moving from one location on the job site to another, which may be of varying heights and access parameters.
  • Standing, stooping, twisting, bending, crouching, kneeling, squatting, climbing, or sitting repetitively and/or for long periods.
  • Repetitive movements by feet, shoulders, arms, wrists, hands, and back in the performance of work.
  • Must be able to lift and carry 30 lbs individually. Anything greater than 30lbs and up to 60lbs will require additional lifting means.
  • Must be able to push and pull at a peak force of 150 lbs.
  • Climbing stairs and/or vertical ladders of a height of 6ft or greater.
  • Working in confined work areas and/or elevated heights.
  • Adapting to temperature changes, outdoor conditions, and prolonged exposure to dusty, wet, or humid conditions, loud noises, and vibration.
