Primary Purpose
Effectively develops, leads, and manages the Sempra Infrastructure (SI) Partners governance function related to board operations, ensuring the highest standards of corporate governance are upheld. Diligently oversees the end-to-end board meeting process, managing the delivery of governance objectives, driving strategic projects for legal, regulatory, and compliance teams, and liaising with the Sempra (SRE) corporate governance team. Proactively manages the governance frameworks and serves as a key interface between board members, senior executives, and various stakeholders, supporting strategic decision-making and strengthening governance frameworks.
Duties and Responsibilities
- Board Meeting Oversight:* Oversees the planning, coordination, and execution of all SI Partners board meetings, ensuring seamless delivery and alignment with organizational priorities. * Prepares board agendas and materials.* Reviews board meeting minutes, ensuring accuracy, timeliness, and compliance with governance standards. * Manages action items arising from board and committee meetings, ensuring accountability and timely resolution.
- Strategic Support for Legal, Regulatory, Permitting, and Compliance Departments:* Leads special projects for legal, regulatory, and compliance teams, including governance enhancements, policy updates, and audit preparations. * Drives the implementation of regulatory initiatives, ensuring board-level oversight and compliance with new requirements. * Supports drafting and reviewing of governance-related legal documents, filings, and policies. * Acts as the governance lead in responding to regulatory changes or inquiries, coordinating with relevant teams.
- Governance and Compliance Frameworks:* Develops, maintains, and enforces corporate governance policies, charters, and terms of reference in line with regulatory and group-wide requirements. * Monitors legislative, regulatory, and industry changes, ensuring timely adoption of new requirements. * Oversees compliance with statutory and regulatory obligations, including corporate disclosures and filings.
- SRE Interface:* Act as the primary liaison with the SRE corporate governance team to align local practices with group-wide governance guidelines, policies, and best practices. * Collaborates on governance frameworks, cross-company initiatives, and reporting requirements. * Ensures consistent communication of SRE expectations to SI stakeholders.* Responsible for the delivery of SRE board and committee meeting materials on behalf of the SI Partners business unit.
- Performs other duties as assigned (no more than 5% of duties).
Qualifications
Education
- Bachelor's Degree Regulatory affairs, law, business, information technology, engineering, related field, or equivalent experience. Required
Experience
- 8 years Experience in corporate governance, board operations, or legal affairs. Required
- Experience in overseeing publicly listed or regulated organizations, with a proven history of successfully executing complex governance projects. Required

- Deep knowledge and understanding of corporate governance frameworks, board meeting processes, and regulatory requirements, as well as regulations, administrative agencies, and legal terminology, with particular focus on the energy industry. Advanced

Other Qualifications
