Position Summary Provide legal counsel and support in multiple areas, focused primarily on nonprofit issues, including governance, structuring and policy issues, conflicts of interest, charitable solicitation and gift issues, state and federal law compliance, trusts and estates, and matters involving affiliates and affiliations. Provide advice and guidance related to the NY Not-for-Profit Corporation Law, NY Education Law, and other state laws as well as federal tax law applicable to tax-exempt organizations; advise on conflicts of interest matters; draft gift agreements, policies and guidelines and provide guidance on related issues, including establishing endowments and other restricted gifts as well as unusual and complex gifts; and assist in the management of trusts and estates benefiting the University, including reviewing accountings and releases, and handling contested estate matters. Provide advice and support on matters relating to the Board of Trustees and Board committees, including preparing agendas, resolutions and other Board-related documents, taking meeting minutes, orienting and training trustees, ensuring compliance with bylaws and other applicable laws, and providing legal guidance on relevant topics. This position will be the primary point of contact for University Development and Alumni Relations. The position may supervise, on a project basis, outside counsel, legal assistants, paralegals, and interns. This position will also provide assistance to the General Counsel and Deputy General Counsel in managing legal functions of the Office of General Counsel by providing leadership and delegated operational oversight of activities, legal services and counsel on policy and procedures for the University. Qualifications Required Education: Experience in drafting, reviewing, revising and negotiating contracts; sensitivity to issues involving universities. Excellent written and oral communication skills; and excellent interpersonal skills, including ability to work collegially with diverse personnel. Must be highly ethical and a team player. Successful track record working in a complex enterprise and handling complicated legal and business issues. Ability to strategize, communicate persuasively and effectively advise clients. Strong leadership skills. Additional Information In compliance with NYC's Pay Transparency Act, the annual base salary range for this position is USD $210,000.00 to USD $260,000.00. New York University considers factors such as (but not limited to) scope and responsibilities of the position, candidate's work experience, education/training, key skills, internal peer equity, as well as, market and organizational considerations when extending an offer.
