Your additional responsibilities include, but are not limited to:

  • Assist with regulatory and compliance matters, including without limitation, monitoring deadlines and filing requirements and supervising outside vendors providing licensing and state registration support for all US legal entities.
  • Assist in mergers, acquisitions, BD&L licensing, collaboration, supply, financing and other business transactions.
  • Support due diligence efforts and closing processes for transactions, including without limitation, drafting and execution of ancillary closing documents, officer's certificates, secretary certificates, etc. Responsible for updating wellness check reports that outline and summarize key terms of partnership agreements. Able to search company archives for agreements upon request and assist with formatting, electronic signature execution, delivery and archiving of signed agreements.
  • Support corporate governance functions, including maintaining corporate records, preparing board resolutions, agendas, consolidating and organizing slide decks for board presentations, summarizing board meeting minutes, and liaising with board members for meetings and external board members for support and remuneration.
  • Coordinate with internal departments and external parties regarding legal and business matters.
  • Conduct legal research and summarize findings for attorneys.
  • Work with Intellectual Property Department to ensure alignment, communication and partnership on key cross-functional policies and procedures.
  • Assist with budgeting process for general legal, transactions and IP for all active matters, including:
  • Sit in on monthly budget allocation calls with Finance representative and support with follow-ups to law firms on accruals or actuals.
  • Contribute to work product reporting and assessments requiring financial and budget analyses.
  • Liaise with US finance and external law firms on budgeting issues including annual and monthly forecasting and accrual exercises.
  • General Operational & Compliance Support for general legal, transactions and IP, including:
    • Preparing reports, formatting presentations, tracking filings and handling other administrative tasks as needed.
    • Manage and organize legal files, ensuring compliance with document retention policies.
    • Proficiency with navigating Contract Pod AI and assist attorneys and business with questions for requesting, storing, searching and retrieving contracts and liaise with other US platforms such as Ariba and Scout.
  • Prepare reports, presentations and other legal correspondence as needed.
  • Liaise with global legal operations to support new matter creation, law firm engagements and overall relationship management.
  • Analyze and adapt processes in order to improve efficiency and identify administrative processes and/or procedures in need of review and revision to ensure efficient and effective use of resources.
  • Coordinate with internal departments and external parties regarding legal and business matters.
  • Conduct legal research and summarize findings for attorneys.
  • Work with Intellectual Property Department to ensure alignment, communication and partnership on key cross-functional policies and procedures.

  • Supporting LF and Target budgeting financial exercises.
  • Sitting in on monthly budget allocation calls with Finance representative and potentially supporting with follow-ups to law firms on accruals or actuals.
  • Contributing to work product incorporating reporting and assessments requiring financial and budget analyses.
  • Liaise with US finance and external law firms on budgeting issues including annual and monthly forecasting and accrual exercises.
  • General Operational & Compliance Support for general legal, transactions and IP, including:
    • Preparing reports, formatting presentations, tracking filings and handling other administrative tasks as needed.
    • Manage and organize legal files, ensuring compliance with document retention policies.

    • Proficiency with assisting attorneys in retrieving contracts from Contract Pod AI and liaising with other US platforms such as Ariba and Scout.
  • Prepare reports, presentations and other legal correspondence as needed.
  • Develop, coordinate and successfully implement various projects to support legal and business unit goals and objectives.
  • Liaise with global legal operations to support new matter creation, law firm engagements and overall relationship management.
  • Analyse and adapt processes in order to improve efficiency and identify administrative processes and/or procedures in need of review and revision to ensure efficient and effective use of resources.
  • Handle other legal and administrative tasks as assigned.

Location:

This position will be located at the Princeton, NJ site and will not have the ability to be located remotely. Preference will be given to local candidates not requiring relocation.

Our Sandoz flexible-hybrid working approach allows US office-based employees to work up to 50% of their monthly workdays remotely.

Minimum Requirements:

Education:

  • Requires either the minimum of a Paralegal certificate with relevant experience, an Associate degree or Bachelor's degree.

Work Experience:

  • Requires the minimum of 5+ years of paralegal experience in industry, law firm or corporate Legal department. Experience in Life Science industry is preferred.
  • Experience in Pharmaceutical company is preferred.
  • Requires thorough understanding and use of paralegal concepts, terminology, and principles with strong attention to detail.
  • Excellent writing and verbal communication skills, and organizational skills.
  • Ability to work independently and collaboratively in a fast-paced environment.
  • Ability to maintain a high level of confidentiality and ethics.
  • Strong proficiency in Microsoft Office (Word, Excel, PowerPoint).
  • Experience with project and operations management and execution.
  • Ability to:
    • Understand general legal & transactional processes and the legal concepts associated with specific legal needs.
    • Comprehend, analyze, and digest legal opinions, legislation, and legal publications.
    • Exercise initiative and sound judgment.
    • Use legal terminology, prepare legal documents, and follow legal procedures.
    • Locate and identify legal opinions, court decisions, legislation, and agreements.

The pay range for this position at commencement of employment is expected to be between $85,400 and $158,600/year; however, while salary ranges are effective from 1/1/25 through 12/31/25, fluctuations in the job market may necessitate adjustments to pay ranges during this period. Further, final pay determinations will depend on various factors, including, but not limited to geographical location, experience level, knowledge, skills and abilities. The total compensation package for this position may also include other elements, including a sign-on bonus, restricted stock units, and discretionary awards in addition to a full range of medical, financial, and/or other benefits (including 401(k) eligibility and various paid time off benefits, such as vacation, sick time, and parental leave), dependent on the position offered. Details of participation in these benefit plans will be provided if an employee receives an offer of employment. If hired, employee will be in an "at-will position" and the Company reserves the right to modify base salary (as well as any other discretionary payment or compensation program) at any time, including for reasons related to individual performance, Company or individual department/team performance, and market factors.
