Milacron is seeking a General Counsel to join our team in Batavia, OH. In this executive role, you will partner with the leadership team with a significant impact on business strategy and decision-making. You will play a critical role in ensuring the company always operates within the law, has a pragmatic, hands-on approach to dealing with legal issues, and serves as an effective guardian of the organization. You will identify and analyze legal issues, negotiate, and draft key documents, present clear recommendations to top management and, at times, the Milacron Board of Directors, play a significant role in mergers and acquisitions, and assure legal compliance. Relocation assistance may be available to those residing outside of the Greater Cincinnati/Tri-State area. Work You'll Do: Essential Duties and Responsibilities: Strategic Leadership:
- Serve as key legal advisor in providing a balance of counsel - business, legal, and strategic - to management in a wide range of matters
- Lead and develop legal strategy to promote and protect the organization's business interests
- Oversee the delivery of legal services and resources to accomplish organizational goals, strategies, and priorities.
Legal Counsel and Advisor
- Develop the organization's policies on industry-specific issues or regulatory affair
- Assist in due diligence and transaction and document negotiation in connection with mergers and acquisitions
- Oversee complex litigation matters
- Anticipate and mitigate potential legal problems within the organization and develop strategies to avoid litigation and reduce potential areas of risk
- Maintain proper organizational interactions with the relevant country, local, state, and federal governmental bodies, legislatures, and the community at large
- Manage external legal advisors.
Contract Management
- Negotiate, draft, and enforce agreements and other legal documents to ensure the company's full legal rights
- Provide clarification to the organization regarding legal language or specifications
- Proactively anticipate potential risks and implement mitigation strategies
Team Leadership and Development:
- Lead, engage, develop, motivate, and drive the performance of the legal team
- Create and drive internal best practices and associated training
Supervisory Responsibilities:
- Directly supervises employees. Carries out supervisory responsibilities per company policies, the Code of Ethical Business Conduct, and applicable laws.
- Responsibilities include interviewing, hiring, and training employees; planning, assigning, and directing work; appraising performance; rewarding and managing employees; addressing complaints and resolving problems.
Qualifications - External Skills/Experience:
- Minimum 10 years' experience required, with at least 5 years as in-house Legal Counsel of a multinational corporation, and experience leading a legal team preferred
- Demonstrated ability to manage litigation required
- Expertise in commercial transactions and contract law required
- High degree of professional ethics and integrity required
- Sound judgment and ability to analyze situations and information required
- Outstanding communication skills required
- Public company experiences preferred
- Experience with data- and cyber-security matters is strongly preferred
- Experience with contract life cycle management tools is a plus
- Demonstrated leadership as a "Doer" and hands-on leader; a player/coach for the team with a passion for learning and who embraces diversity as a core value; with an eye for talent and committed to developing others
- Comfortable operating at all levels within the organization and with multiple and diverse audiences with a high level of diplomacy and gravitas to work effectively with senior and executive leaders.
Education:
- J.D. from an accredited law school and licensed to practice law in at least one state in the United States with a minimum of 10 years of applicable in-house or private practice experience.
