The Corporate Counsel provides legal counsel in the areas of general business and construction law. They advise and represent Webcor in contract negotiations, disputes, and other legal matters to implement an effective legal strategy across the company. Corporate Counsel identifies and creatively addresses potential legal issues and assists in driving the company's overall strategic plan.

ESSENTIAL DUTIES AND RESPONSIBILITIES

  • Prepare and negotiate design and construction agreements, as well as other legal documents such as non-disclosure/confidentiality agreements, leases, joint venture/teaming agreements, and subcontract/supply/procurement contracts, among others.

  • Provide advice and counseling on contract compliance, risk management, dispute resolution, and project management issues for ongoing projects.

  • Assist in developing and implementing legal strategy regarding potential disputes that arise during the development and construction of projects, including analyzing contract remedies, drafting demand letters, and negotiating resolutions.

  • Work with outside counsel to effectively manage disputes to facilitate early strategic resolutions.

  • Participate in the development of corporate policies, procedures, and programs, and provide continuing counsel and guidance on legal matters and on legal implications of company operations.

REQUIRED SKILLS AND EXPERIENCE

  • Able to communicate positively, effectively and efficiently with members of internal teams, outside public and private development clients, and outside counsel.

  • Able to multi-task with excellent analytical and legal skills.

  • Ability to understand business and operations needs and partner with project-level employees and company executives to develop creative strategies and solutions.

  • Strong understanding of the interplay between legal and business risk.

REQUIRED EDUCATION AND WORK EXPERIENCE

  • JD with admission to CA State Bar required.

  • The ideal candidate will have a minimum of two years' experience in construction law, either at a law firm or in-house (with a general contractor, subcontractor, or professional design firm focusing on architecture/engineering), or equivalent relevant experience in commercial litigation and/or corporate transactions.

  • Litigation and contract drafting/negotiation experience preferred.

  • Knowledge of construction delay and disruption claims a plus.

PHYSICAL REQUIREMENTS

Performance of the required duties will require physical ability to sit for long periods of time at a desk, generally up to 5 hours per day, and standing and walking. The repetitive motion using hands with constant keyboarding and physical use of vision to read computer monitors and paper documents. Regularly required to use hands to operate standard office equipment (personal computer, photocopy machine, fax machine). Occasionally required to stoop, kneel and lift up to 25 pounds. The noise level in the office work environment is usually moderate.

Range of base pay is $170,000-$190,000. Actual pay is based on individual skill level and experience.
