Who we are looking for


Purpose

The legal function of Chiesi USA, Inc., led by the General Counsel, provides legal services to the company and its internal stakeholders, ensuring consistency, awareness, and coordination on emergent and sensitive matters. The ideal candidate can work a hybrid model out of our Cary, NC office.

Main Responsibilities

  • Manages, establishes detailed knowledge of and demonstrates control over internal processes and systems for the management, review, and approval of all contracts.
  • Drafts, negotiates, reviews, and coordinates internal stakeholder approval for material agreements, such as confidentiality agreements, master service agreements, speaker agreements, consulting agreements, commercial agreements, etc., to achieve the business objective effectively and efficiently.
  • Drafts official correspondence related to contracts, such as notices of breach, termination notices, and assignment letters.
  • Stays up to date on market trends and industry best practices in contracting and contract management to identify risks and propose mitigation strategies consistent with the company's risk tolerance.
  • Maintains and updates existing contract templates and drafts additional contract templates based on business needs.
  • Manages pre-litigation disputes relating to contractual obligations and assists in developing, managing, and directing company's litigation strategy on contractual disputes in an efficient and cost-effective basis.
  • Reviews and advises on promotional and medical materials for compliance with applicable laws and assessment of risk.
  • Actively participates in Promotional Review Board meetings.
  • Advises on issues of false advertising and unfair competition and the company's response to the same.
  • Collaborates with cross-functional colleagues for consistency across products.
  • Stays up to date on market trends and industry best practices in advertising and promotion to identify risks and propose mitigation strategies consistent with the company's risk tolerance.
  • Assists with elements of corporate governance, including but not limited to negotiating intercompany agreements, drafting board resolutions and managing entities' officers and directors.

Experience Required

  • Admission to at least one State bar
  • Previous contract negotiation experience required
  • Previous advertising and promotion experience preferred but not required
  • One to three years of legal experience preferred, whether as in-house counsel or in private practice
  • Excellent oral and written communication skills
  • Excellent organizational skills
  • Excellent preparation and presentations skills
  • Strong legal research skills
  • Ability to use standard office systems and software as well as specialized legal systems as implemented; familiarity with contract management systems is a plus
  • Ability to operate effectively in a fast-paced environment
  • Ability to meet aggressive deadlines
  • Demonstration of discretion and ability to maintain confidential information
  • Ability to focus and multi-task
  • Ability to work with minimal day-to-day supervision and to work cohesively with legal and business personnel at all levels


Education

  • Juris Doctorate degree from an ABA accredited law school
