SUMMARY Manage the legal, financial, and operational risk of CNB and its subsidiaries by assisting with full life-cycle subcontract management, including drafting and negotiation of Non-disclosure and Teaming Agreements, provide senior guidance in the negotiation of terms and conditions on CFED subcontracts, while overseeing the Contract Purchasing System execution in accordance with the Federal Acquisition Regulations and corporate policies and procedures. ESSENTIAL DUTIES AND RESPONSIBILITIES Includes the following:
- Act as a focal point for subcontract communications
- Manage all third-party subcontracts through cradle to grave Subcontracting process
- Strong experience managing Subcontracts or Procurement team
- Has a full understanding of Contractor Purchasing System Review (CPSR)
- Prepare and negotiate Non-Disclosure and Teaming Agreements as appropriate
- Has a comprehensive understanding of subcontractor solicitations and bid analysis/process.
- Oversee and provide guidance on negotiations on standard and non-standard contracts terms and conditions for contractual compliance and risk in accordance with the FAR, DFAR, and government supplemental regulations
- Confident in a fast-paced environment with competing priorities, and able to multi-task and manage expectations
- Provide leadership and solutions to contracting or programmatic issues
- Respond and provide guidance to internal and external subcontract issues, audits, and compliance requirements
- Coordinate internal review by all affected parties and obtain internal and external signatures in accordance with company signature authority.
- Coordinate review and preparation with outside legal counsel when necessary.
- Maintain CNB's central library of all original contracts, related documentation, and correspondence, as well as CNB's contract database containing key contract elements.
- Provide periodic reporting of contract activity, including notice of expiration, status of pending agreements, and compliance with insurance provisions.
- Assist department leads and executives with contract interpretations and resolution as needed.
- Participate in making decisions regarding contract content.
- Performs other job-related duties as assigned.
- Minimum of five (5) years in Government Contracting that consist of both Prime, Subcontracting, and Procurement experience.
SUPERVISORY/MANAGEMENT AUTHORITY Supervise/manage a department and have authority over hiring/firing/performance decisions. EDUCATION AND EXPERIENCE Bachelor's Degree and 5-7 years of relevant government contracting experience or equivalent combination of education and experience. KNOWLEDGE, SKILLS AND ABILITIES
- Must have a working knowledge of the Federal Acquisition Regulation (FAR) and associated agency specific clauses as applicable to the contracts being administered.
- Must be a detail-oriented self-starter with excellent oral and written communication skills who can work with a minimum of supervision.
- Must be proficient with various software applications such as MS Access, Word, and Excel.
- Must possess the problem-solving skills and creativity necessary to define specific contractual requirements and reach mutual agreement between CNB and counterparty.
- Must be able to work on multiple projects concurrently and be able to prioritize assignments based on internal customer needs.
- Must be able to maintain the highest level of professionalism, confidence, and integrity while directly dealing with all levels of internal and external customers, to include entity C-suite.
- Negotiation and diplomacy skills are critical in dealing with external contacts.
- Must be a US citizen and be able to obtain/maintain a government security clearance.
- Must pass pre-employment qualifications of Cherokee Federal
- Excellent written and oral communication skills and the ability to coordinate all aspects.
- Excellent proficiency with MS Office Applications, especially Word, PowerPoint, and Excel
- Experience working with diverse teams at multiple locations.
WORK ENVIRONMENT Work is primarily performed in a climate-controlled office setting. Occasional travel and overnight stay may be required.
