This is a hybrid position that currently has the minimum expectation to work out of our downtown Seattle headquarters two days per week on Mondays and Thursdays.
Who we're looking for:
Rover is seeking a Director, Corporate Counsel to be a pivotal member of our legal team. In this high-visibility role, reporting directly to the General Counsel, you will drive legal support across a range of general corporate functions, with a strong emphasis on M&A and other strategic transactions.
This role is ideal for a seasoned lawyer who thrives in a fast-paced environment and excels at building strong relationships across corporate departments. You're someone who can operate with a high degree of independence, managing a diverse portfolio of complex legal matters and transactions across multiple jurisdictions, often under tight deadlines.
While your M&A and strategic transaction expertise will be a key asset, you'll also be instrumental in advising on a broad spectrum of corporate legal issues foundational to Rover's continued success. You are adept at identifying potential legal and business risks, calibrating advice to risk tolerance, and spotting opportunities to maximize value. You combine strategic vision with the ability to zoom into tactical details, all with humility and enthusiasm.
Exceptional written and verbal communication skills and sound, practical business judgment are a must. If you have deep experience effectively partnering with outside counsel, counterparties, and cross-functional internal teams to deliver impactful legal outcomes at a fast pace, this role may be for you.

Your Responsibilities:
  • Offer strategic legal advice to senior leadership on a variety of corporate matters, including complex transactions, credit agreement compliance, partnership issues, entity management and employee incentive grants.
  • Draft, review, and negotiate a wide array of corporate and transactional documents, including NDAs, term sheets, acquisition agreements, joint venture agreements, and other ancillary contracts.
  • Lead and manage all legal aspects of M&A and strategic transactions, overseeing the entire lifecycle from initial evaluation and due diligence through negotiation, execution, integration, and post-closing matters.
  • Manage and oversee outside counsel relationships for M&A, investment transactions, and other specialized corporate matters, ensuring cost-effective and high-quality legal support.
  • Coordinate and conduct legal due diligence on potential targets across various jurisdictions, proactively identifying risks and recommending appropriate mitigation strategies.
  • Collaborate closely with internal stakeholders across tax, finance, HR, product, and other legal teams to ensure seamless alignment and integration on cross-functional initiatives.
  • Advise on international and cross-border legal issues, encompassing foreign investment laws, antitrust/competition, data privacy, IP transfer, employment, and regulatory compliance, specifically as they relate to corporate initiatives.
  • Drive legal department efforts related to post-acquisition integration, providing guidance on transitional services, operational harmonization, and ongoing risk mitigation.
  • Provide periodic support and counsel on other general corporate matters essential to the business, demonstrating flexibility and adaptability to evolving company needs.
Your Qualifications:
  • 10+ years of experience as a corporate attorney, with significant experience in M&A, joint ventures, investments, and corporate development strategies; some in-house and tech transaction experience preferred.
  • Familiarity with cross-border transactions
  • Exceptional judgment and personal integrity
  • J.D. from an ABA-accredited law school
  • Licensed (or license pending) attorney in Washington State

Compensation:
  • In the greater Seattle area the first-year salary range is $188,330-$250,479 with a 15% bonus. Additionally, Rover offers a long-term incentive plan with a company performance-based cash payout and benefits to full-time employees.
  • The cash compensation offered for this role will be dependent on the candidate's experience, qualifications, skills and abilities as demonstrated in the interview and hiring process.
