Job Summary

The Corporate Paralegal provides legal support to Masimo's legal department, assisting with a wide range of tasks related to contracts and corporate record keeping, business transactions, legal compliance, litigation and department administration. In this role, the Corporate Paralegal will work closely with in-house and outside attorneys and have responsibility over various corporate activities, including those identified below.

Duties & Responsibilities

Contract Management



  • Drafting, reviewing, and managing various types of corporate documents and contracts, such as non-disclosure agreements, vendor agreements, intellectual property assignments and healthcare related contracts.


Corporate Record Keeping



  • Maintaining accurate and up-to-date records of the corporation, including director/officer details, subsidiary information and organizational documents.



Entity Formation and Maintenance



  • Assisting with the formation, registration, maintenance, and dissolution of various legal entities, such as corporations, LLCs, and partnerships.



Transaction Support



  • Assisting with corporate transactions, including mergers, acquisitions, and financing agreements.



Litigation Support



  • Assisting with litigation matters, including preparing legal documents, responding to subpoenas, managing discovery, keeping track of deadlines, investigating issues, and coordinating with in-house and external counsel.



Legal Research



  • Conducting research on legal issues, regulations, and precedents relevant to the company's operations.



Administrative Support



  • Providing administrative support to attorneys, including coordinating with the finance department to manage outside counsel invoice processing and legal department budgeting.



Compliance



  • Ensuring the company adheres to all applicable laws and regulations, including maintenance of various business licenses and regulatory filings.



Minimum Qualifications



  • 4+ years' experience as corporate paralegal
  • California Notary Public or willingness to become one (reimbursement of related costs and education available)
  • Strong understanding of corporate law, including legal entity management
  • Excellent organizational and time management skills
  • Proficiency in legal research and writing
  • Attention to detail and accuracy
  • Strong work ethic, team player, and positive attitude
  • Strong communication and interpersonal skills
  • Proficiency in Microsoft Office Suite


Preferred Qualifications



  • Prior corporate paralegal experience in large multi-national company or international law firm
  • Prior healthcare industry experience


Education



  • Bachelor's degree
  • Paralegal certificate


Compensation

The anticipated Hourly Rate range for this position is $35-50 Per Hour plus benefits. Actual placement within the range is dependent on multiple factors, including but not limited to skills, education, and experience.

Physical requirements/Work Environment

This position primarily works in an office environment. It requires frequent sitting, standing and walking. Daily use of a computer and other computing and digital devices is required. May stand for extended periods to perform certain administrative tasks.
