JOB SUMMARY

Execute organizational efforts to achieve growth through mergers, acquisitions, and divestitures while also assisting in the financial, organizational, and operating evaluation of potential target acquisition opportunities.




Responsible for understanding, upholding, and promoting the Everus 4EVER Strategy.

MINIMUM QUALIFICATIONS


  • A working knowledge of mergers and acquisitions at a level normally acquired through completion of a Bachelor's degree in finance, business administration, accounting, economics, or related field; and
  • Seven years' experience in investment banking or corporate development activities.


      JOB RESPONSIBILITIES


      • Develop and maintain merger and acquisition opportunities via the intermediary community to ensure the corporation is appropriately positioned to maximize all viable transaction opportunities available in the market.
      • Create and manage opportunity tracking capabilities to ensure appropriate reporting to the Board of Directors and Executive Leadership team.
      • Identify, analyze and determine feasibility of possible mergers and acquisitions, while evaluating the potential impact on the corporation's strategy, growth, profitability and diversification.
      • Build pro-forma financial models for targets which reflect acquired business characteristics while incorporating corporation-specific financial reporting techniques and methods.
      • Develop and refine customized business valuation financial models utilizing multiple valuation techniques which include discounted cash flow, internal rate of return, LBO analysis, comparable transactions, ability to pay, and synergy analysis.
      • Develop and collaborate on merger and acquisition project management processes including due diligence, financial planning, scoping, closing and integration.
      • Collaborate with due diligence teams including scheduling, logistics, diligence review, board presentations, and negotiation/closing documentation.
      • Coordinate internal and external due diligence activities on a cross-functional basis and in coordination with third party service providers (i.e. attorneys, bankers, CPA's, consultants)
      • Collaborate with cross-functional, inter-departmental teams in the creation of post-closing integration tracking on a cross-functional, inter-department basis.
      • Develop and collaborate to create the corporation's "M&A Playbook" to codify acquisition practices, techniques, and procedures on a cross-functional basis and in coordination with third party service providers (i.e. attorneys, bankers, CPA's, consultants).
      • Knowledge of GAAP related to construction industry (i.e. percentage completion accounting)
      • Must be able to maintain confidentiality
      • Performs other tasks as assigned


      COMPENSATION & BENEFITS PACKAGE


      • Wage Range: $131,810 - $164,760.
      • Annual short-term incentive bonus of up to 30% of eligible wages based on eligibility and company goal achievement.

      PREFERRED QUALIFICATIONS


      • Experience in the construction industry.
