  • Estimated annual base pay: $102,400-$128,000 (midpoint) - $153,600

Are you ready to make your mark? If you're a Commercial Counsel, we have an exciting opportunity for you. The Counsel position supports the development, implementation and maintenance of contract policies, procedures, trainings and systems (e.g., contract management software). Understands the business and integrates commercial needs into legal documentation and supports the Business Groups in the negotiation, drafting and review of contractual obligations with customers and suppliers as necessary. Supports other corporate projects and initiatives in the legal department. This position may have some supervisory responsibilities.

What You Will Be Doing

  • Directly supports the enterprise-wide contracting strategy by developing and implementing policies, processes and trainings to address and mitigate identified contractual risks.

  • Responsible for the administration and maintenance of the Company's contract lifecycle management system, ensures the reliability of contract retention practices, and recommends process changes as needed.

  • Reviews complex and custom contractual provisions to ensure standard clauses, terms and conditions are compliant with quality, legal, government and other regulation requirements.

  • Supports the continued refinement and improvement of processes, principles and standard work related to contract reviews and approvals, including updating and maintaining Policy 1-18 and corresponding signing authority tables.

  • Assists the AGC of Contracts with the creation and implementation of employee trainings to promote compliance with corporate contracting policies and procedures.

  • Consults with Business Groups on proposal efforts, reviews proposed contract language for ambiguities, advises on potential outcomes of contract language, drafts complex provisions to achieve intended results, understands interrelationships among various contract provisions, and recommends contract language that supports Woodward business strategies and interests.

  • Supports the Business Groups and Global Support Services functions in negotiating commercial and legal terms for commercial agreements, and participates in functional contract reviews (e.g., sales, finance, quality, import/export controls, engineering, etc.) to optimize opportunity and mitigate risk.

What We Are Looking For

  • BA/BS Bachelor degree required

  • JD required

  • 2-5 years of experience required
