Overview

The Legal Services Contracts Administrator provides professional contract administration and related services to support the Legal Services Department and Office of Technology Commercialization (OTC), including drafting, reviewing, redlining, and negotiating OTC-related contracts working with a supervising attorney. Manages and assists in performing administrative functions related to the contract process within OTC, from intake to final execution of the agreements.

Responsibilities

    Provides contract review and support to the OTC Staff and attorneys within the Legal Services Department on OTC-related agreements.
  • Responsible for leading efforts with OTC's Agreements Assistant on all OTC-related agreements as the Agreements Assistant manages intake, review, assess, triage, and distribution of research agreements. Work with Agreements Assistant on a course of action for resolution of agreement related issues.
  • Responsible for coordination and administration of OTC-related contracts including but not limited to CDAs (Confidential Disclosure Agreement), DUAs (Data Use Agreement), MTAs (Material Transfer Agreement), CRAs (Collaborative Research Agreement), and Inter-Institutional Agreements (IIAs) pertaining to intellectual property and academic research flowing to and from The Abigail Wexner Research Institute (AWRI),
  • Possesses thorough business and contract negotiation knowledge; identifies issues, develops and analyzes alternative solutions, makes recommendations and implements solutions as approved. Responsible for responding to external inquiries, negotiating contract issues, and reviewing and finalizing contracts.
  • Acts as a liaison within the organization to ensure seamless contract flow and manages the entire contract process from intake to final execution of the contract.
  • Functions as a point of contact for institution's employees related to coordination of contract review and contract administration procedures.
  • Provides education and training to institution's employees regarding contractual terms and procedures.
  • Reviews and assists in updating Standard Operating Procedures for OTC
  • Assists attorneys in ensuring that OTC-related agreements are compliant with regulations, corporate policies and corporate agreements.
  • Adheres to department and organizational policies and procedures.


Qualifications

KNOWLEDGE, SKILLS AND ABILITIES REQUIRED

  • Bachelor's degree required or Paralegal Certificate from an accredited institution.
  • At least three years of experience in a law firm, corporate legal department or government agency with significant experience in the preparation and administration of contracts required, or equivalent educational and work experience, which may include a juris doctorate degree.
  • One to four years' experience within a hospital or health-related entity preferred.
  • Exceptional organizational skills, including the ability to organize and maintain files, manage diverse assignments and projects, exercise judgment and decision making in prioritization of multiple deadlines.
  • Dynamic, self-starter with strong negotiating skills.
  • Proficient in reviewing and analyzing contracts and other legal documents.
  • Ability to multi-task and work independently with minimal supervision in a dynamic, fast-paced environment with a heavy workload.
  • Ability to adhere to deadlines, prioritize and work on multiple, simultaneous assignments.
  • Ability to identify process inefficiencies and suggest and implement viable solutions to resolve such identified inefficiencies.
  • Interact with supervisors, medical personnel, internal buyers/supply chain, internal and external lawyers, legal assistants, and support personnel.
  • Strong computer skills including proficiency in Microsoft Word, Excel, Power Point, SharePoint, and Outlook.
  • Proficiency in working with a document management and contract management system (e.g. Meditract) strongly preferred.
  • Excellent analytical and problem solving abilities.
  • Knowledge of legal terminology and procedures.
  • Knowledge of contract lifecycle and common contractual terms.
  • Demonstrate strong written and oral communication skills.
