Overview

As an Assistant Corporate Secretary, you will support all aspects of board and committee meetings, including meeting scheduling, agenda preparation, coordination, collection and distribution of materials, minutes preparation and action item/escalation follow up. You will draft, review and revise documents such as, bylaws, charters, resolutions, minutes, and officer/incumbency certifications. Other responsibilities may include assisting with various assessments, such as the effectiveness assessment process, liaising with third party providers to ensure statutory filings for legal entities are complete and timely filed, ensuring corporate records are accurate in required systems and supporting the production of corporate records in response to internal/external information requests.

What You'll Do

  • Assist the corporate secretary with all aspects of meeting management for legal entities, including the preparation, collection, and distribution of meeting materials, attend all meetings, and conduct legal and governance requirements at meeting, draft, and review meeting minutes

  • Draft, review, and revise legal documents, including annual review and/or modifications such as bylaws, charters, shareholder agreements, resolutions, officer, and incumbency certificates

  • Perform annual effectiveness assessments and ensure content addresses legal and corporate governance obligations and policies

  • Maintain legal framework to manage and annually certify signing authority processes and permissions across legal entities

  • Support ad hoc business requests related to transactions and corporate actions

  • Work collaboratively with team to improve operational processes

Skills You'll Need

  • Juris Doctor from an accredited law school and active member in good standing of New York bar

  • Prior experience in a comparable position with an understanding of corporate governance best practices

  • Proficiency in MS Office, including Outlook, Word, PowerPoint and Excel

  • Knowledge of Delaware General Corporate Law and New York Banking Law

  • Relevant experience with governance systems (Blueprint, Boardpad, Diligent)

  • Excellent communication skills, including speaking, writing and proof reading skills

  • Ability to work well independently and with a team in a fast-paced environment

  • Ability to identify opportunities for process improvements and drive continuous improvements

  • Highly organized and detail-oriented with strong multi-tasking and time management skills

Expectations

It is the Bank's expectation that employees hired into this role will work in the New York office in accordance with the Bank's hybrid working model.

The salary range for this position in New York City is $100,000.00 to $142,250.00.Actual salaries may be based on a number of factors including, but not limited to, a candidate's skill set, experience, education, work location and other qualifications. Posted salary ranges do not include incentive compensation or any other type of remuneration.
