Marcum LLP is seeking aManager/Senior Manager to join our growing and well-established national firm in the Mid-Atlantic region. This position requires an experiencedTransaction Advisory Services professional with strong interpersonal and supervisory skills.
Responsibilities
- Conduct financial advisory due diligence in buy-side and sell-side transactions.
- Review financial information and other data to identify:
- Historical and projected financial, operating and commercials trends.
- Potential accrual-based adjustments that may be necessary in order for the financials to be in compliance with US GAAP.
- Quality of earnings adjustments.
- Working capital and debt and debt-like items considerations.
- Potential liabilities and risks that will impact the valuation of the company and negotiations between buyer and seller.
- Identify pre- and post-acquisition transaction issues and synergies in the context of financial due diligence.
- Identify purchase price reductions, deal restructuring, or other issues affecting a transaction.
- Assist in drafting Excel data books and reports on Quality of Earnings, Working Capital and other transaction related analysis as well as review reports / sections of reports drafted by staff.
- Supervise, develop and evaluate staff.
- Preparing for and leading meetings with company (sell-side transaction) or target (buy-side transaction) management are customary during the due diligence process
- Liaise with other disciplines (tax) working on the diligence projects.
- Communicate effectively with clients, target company management, investment bankers and other client advisors on a transaction.
- Contribute to staff training programs, development of transaction advisory practice aids and to adherence to practice compliance requirements.
Qualifications
- Bachelor's degree in Accounting, Finance or other relevant discipline.
- 6+ years of relevant work experience in in one of the following (preferably with a national firm): transaction advisory services, financial consulting or other M&A experience.
- CPA or CFA designation is preferred.
- Strong understanding of the M&A process.
- Excellent analytical and problem-solving skills.
- Excellent documentation skills.
- Excellent communication and interpersonal skills.
- Excellent Excel skills.
- Excellent business acumen.
- Ability to work effectively and efficiently under the pressure of transaction deadlines.
- Must be able to travel based on client and business needs (less than 20%).
