Position Overview:

Join us as the Vice President of Global Taxation at Baxter, where you'll spearhead global tax planning, operations, and compliance in a dynamic, fast-paced, and collaborative environment. As a complex global organization with multiple businesses in 100+ countries and expansive vertically-integrated operations across the world - this position requires a broad strategic thinker that can thoughtfully challenge the status-quo and innovate. Your leadership will be key to setting and effectively executing tax strategies that maximize value across the enterprise.

Reporting directly to the Chief Financial Officer ("CFO") and collaborating with the Executive Team as well as the Audit Committee, you'll play a pivotal role in shaping our tax strategy, driving shareholder value, and simplifying our organization's operations. You will be the overall tax expert and tax thought-leader for Baxter - with responsibility for providing advice and direction to the executive team, in not only establishing and maintaining best practices, but also looking for strategic 'optimality' across the enterprise and providing sound guidance on the tax implications across all of Baxter's commercial contexts.

In this role, you'll lead a seasoned, self-sufficient internal team, fostering a culture of growth and development. From tax planning and budgeting to team development and business expansion, you'll be at the forefront of global tax initiatives, optimizing tax strategies, minimizing unnecessary costs, and ensuring compliance with U.S. as well as international regulations.

Position Responsibilities:

You will be responsible for the complete oversight and direction of the tax function at Baxter spanning tax planning, tax compliance, tax reporting, as well as all tax aspects of business strategy and business development, including mergers and acquisitions (M&A) activity.

Strategic Leadership:

Develop and implement global tax strategies to optimize Baxter's financial performance, and minimize ETR.

Collaborate with senior leadership to align tax strategies with overall business objectives.

Lead cross-functional teams to ensure strategies, plans and actions innately incorporate compliance with international tax laws and regulations.

Identify and leverage opportunities to reduce tax liabilities and improve financial performance.

Lead all aspects of the development of strategic global transfer pricing, emphasizing cross-border intercompany transfer pricing of products, services and intellectual property rights for new and future products.

Operational Management:

Oversee global tax operations, including planning, compliance, and reporting.

Ensure efficient and effective tax processes and systems are in place.

Work closely with the finance team to ensure that tax considerations are integrated into overall business decisions.

Lead all aspects of the income tax provision process and ensure all income tax matters are accounted for in accordance with ASC 740 and reported in accordance with SEC standards.

Manage relationships with external tax advisors and regulatory bodies.

Risk Management:

Identify and mitigate tax-related risks across all jurisdictions

Ensure adherence to corporate governance standards and ethical practices.

Monitor changes in tax legislation globally and assess impact on the company.

People Leadership:

Lead, mentor, and develop a high-performing global tax team.

Foster a culture of continuous improvement and professional development.

Promote collaboration and knowledge sharing across the team.

Financial Reporting:

Oversee the preparation and review of tax provisions and disclosures in financial statements.

Ensure accurate and timely filing of all tax returns and related documentation.

Provide insights and recommendations to senior management based on tax data analysis.

Tax Planning:

Provide overall strategic leadership - both domestically and globally, for the Company's tax function.

Develop, evaluate, and implement tax efficient strategies including those for corporate structure and funding, the repatriation of profits, the effective use of tax credits, offsets, deductions, and loss carry forwards.

International Tax:

Given the global nature of Baxter's business, you will manage the interaction between U.S. and foreign operations and taxes and will be responsible for the Company's global tax position, including the application of tax treaties, withholding taxes, transfer pricing legislation, and VAT.

Tax Advisory:

Provide pro-active and timely advice to the executive team and others within the Company, on material tax matters, both domestic and global, including the tax aspects of corporate initiatives as well as business development opportunities being considered.

Anticipate, plan for, and guide stakeholders through business implications of tax initiatives.

Tax Compliance:

Direct the tax compliance activities, both domestically and globally, for the Company.

Manage audits by tax authorities globally.

Provide oversight for tax compliance from both a domestic and global vantage-point, ensuring processes are in place for appropriate compliance with tax legislation and effective use of available tax attributes.

Anticipate/Maintain awareness of and direct responses to changes in tax legislation.

Operate with a high-degree of diligence in this compliance - ensuring the company's ability to withstand scrutiny and any potential action(s) from tax authorities including within the court system.

Tax Reporting:

Working closely with members of the team to establish and maintain tax accounting practices that accurately reflect the impact of taxes on the financial statements and on published results.

Manage the periodic review of tax processes and tax accounts by the external auditor(s).

Business Development, Mergers & Acquisitions:

Evaluate tax aspects and impacts of potential business acquisitions, disposals, and re-organizations.

Develop and implement plans for optimally tax effective transactions.

Position Qualifications:

This key role requires a strategic thinker with extensive experience in corporate tax accounting, consulting, and global operations.

Education:

Bachelor's degree in Accounting, Finance, or related field.

Advanced degree (MBA, JD, or equivalent) preferred.

Professional certification (CPA, CMA, or equivalent) required.

Experience:

Minimum of 15 years of experience in corporate tax accounting (public accounting as well as major public/private enterprises)

Extensive experience with international tax laws and regulations.

Experience in the healthcare industry and/or vertically-integrated manufacturing is preferred.

We understand compensation is an important factor as you consider the next step in your career. At Baxter, we are committed to equitable pay for all our employees, and we strive to be more transparent with our pay practices. The estimated base salary for this position is $320,000 - $440,000 USD annually. The estimated range is meant to reflect an anticipated salary range for the position. We may pay more or less than the anticipated range based upon market data and other factors, all of which are subject to change. Individual pay is based upon location, skills and expertise, experience, and other relevant factors. This position may also be eligible for discretionary bonuses, and/or long-term incentive.
