ROLE

A senior-level attorney who will serve as an Associate General Counsel at the Senior Director level in a cross-functional commercial risk and legal team that provides contracting and negotiation expertise to win complex, multi-service outsourcing technology and services deals with clients from around the world and across industries.

At Cognizant, we have a diverse legal team working closely with business, sales and other corporate functions to help Cognizant deliver digital and information technology solutions for our customers around the globe. The work is fast-paced and dynamic; and it will continuously challenge you to learn and grow as an attorney.

A minimum of ten (10) years of experience at a major law firm or in-house at a similarly situated organization is required.

EXPERIENCE REQUIREMENTS

Contracts:

* Deep knowledge of contracting terms relevant to IT services and outsourcing:

o IT/BPO/Outsourcing industry knowledge

o Finance, accounting, procurement, and legal principles that are core to IT contracting

o Provisions relevant to outsourcing and IT products/services

o Commercial levers and variables key for positive deal outcomes

o Financial and business considerations that underpin contracting positions

* Extensive drafting experience with the ability to accurately review, understand and negotiate provisions

Negotiations:

* Experience leading high stakes negotiations with a high degree of collaboration

* Ability to develop, implement and lead a negotiation plan and strategy

* Adept at escalating and acquiring internal alignment on preferred positions and final positions

* Mastery of listening to client positions while advocating Cognizant's positions to find workable solutions

QUALIFICATIONS

The ideal candidate for this role will have all the following qualifications:

* JD from a top tier law school

* Licensed attorney with a minimum of 10+ years of expertise in commercial transactions at a major law firm or in-house at a similarly situated organization

* Demonstrated track record of closing strategic deals

* Great interpersonal skills

* Excellent communication skills, both oral and written

* Ability to work efficiently, meet demanding deadlines in a fast-paced environment, prioritize work, and adjust to frequent workload fluctuations across multiple time zones

* Ability to work in a rapidly changing and diverse environment and comfort navigating through ambiguous situations

* Commitment to promoting an ethical workplace culture and supporting compliance processes and programs

* Ability to travel up to 33% or more
