Draft and negotiate provider contracts and compensation terms and act as primary point of contact for all types of provider contracts and arrangements. Provide oversight and supervise contracting staff on the drafting of provider contracts. Be the subject matter expert for provider transactions and compensation and ensure provider contracts and transactions comply with the Physician Financial Arrangements Policy, and Stark, Anti-Kickback, HIPAA and other healthcare regulations. Support mergers, acquisitions, joint ventures, and other business transactions involving healthcare providers and facilities. Identify and address legal risks associated with Provider compensation models, value-based care arrangements, and reimbursement structures. Advise on corporate structure and governance issues related to provider practices, medical groups, hospital, and health system affiliations. Collaborate with CMO to:
Assist in developingprovider contracting budget and provide annual summary to leadership Facilitate the annual quality goals and performance metrics process for physicians Evaluate physician services to ensure scope of services meets operational needs Provide guidance to Medical Staff Office on credentialing to meet operational needs
Manage approval process of provider compensation for executive leadership, the Compliance Committee, the Finance Committee, and the Board of Directors. Independently cultivate and maintain relationships with business owners, recommend contract development strategies, and facilitate resolution of complex contract issues. Communicate with executives, managers, and other stakeholders; obtain feedback and approvals throughout the contract negotiation process to ensure the final contract supports financial, operational, and strategic goals. Manage processes that provide timely notification of critical contract events (e.g., renewals, termination, and due dates contained within the agreements). Develop and maintain a clause library and contract playbook and ensure contract templates are kept current. Evaluate opportunities and implement improvement to contract templates, language, and processes. Ensure accurate data entry of contract specifications and terms into contract management database and completion of all contracting processes. Identify opportunities to improve processes, share best practices, and improve efficiency with organizational workflows, processes, structure, systems, and technologies. Promote best practices for knowledge management and tracking regulatory developments. Assist with all contracting administration and projects, as needed. Other duties, as assigned.
Qualifications
Minimum of 8+ years of legal experience, ideally in provider arrangements and healthcare transactions, preferably in a law firm or in-house counsel role Juris Doctor (or equivalent) from a law school accredited by the American Bar Association Excellent executive level verbal and written communication skills; ability to provide practical, business-oriented legal advice Knowledge and understanding of healthcare industry, legal and regulatory requirements, including Stark, Anti-kickback, False Claims Act, and HIPAA Excellent contract drafting and negotiation skills Excellent organization, analytical, and problem-solving skills High degree of credibility, integrity, and confidentiality Able to work independently, self-motivated, and proven track record in working collaboratively as part of a team Can multi-task, pay close attention to detail, and be flexible in a fast-paced and growing organization Demonstrated strength in computer software and contract management systems Must be able to work at multiple locations in Los Gatos and Mountain View based on business needs
License/Certification/Registration Requirements Current active member of the California State Bar in good standing Salary Range: $95.92 - $143.88 USD Hourly
