We are seeking a highly skilled and experienced legal counsel to join our legal team. The Counsel, Corporate Functions position will manage risk and provide guidance to corporate functional teams, as well as negotiate various types of contracts and support company initiatives. In addition, they will seek to continuously improve the legal services provided while enhancing efficiency, proposing solutions to manage risks appropriately for the company, and ensuring compliance with legal requirements. This is a remote opportunity. Key Duties and Responsibilities:
- Provide legal support for contracts supporting Corporate functions (e.g., Finance, Corporate Development, IT, HR, and corporate entity management).
- Provide back up support for customer agreements as needed.
- Provide legal support for IT contracts, including drafting, negotiating, and advising on IT contracts.
- Provide support to the Legal Team and other functions to develop and execute on various corporate-wide initiatives, including data privacy, data security, and document retention.
- Areas of support may include contracts, employment law, FDA Regulatory, banking, data privacy, mergers and acquisitions, cybersecurity, insurance, collections, tax, compensation and benefits, corporate entity management, and other day-to-day matters.
- Monitor and analyze potential legal risks and develop plans for addressing and mitigating them as appropriate.
- Provide ongoing education and training to the Corporate functions on relevant legal matters.
- Lead contract review and negotiations.
- Excellent contract drafting and negotiation skills with the ability to explain complex legal concepts to non-lawyers.
- Collaborate with cross-functional teams to create strong relationships and contract terms that align with business goals and mitigate risks.
- Participate in and contribute to Legal Team working groups as designated.
- Manage outside counsel relationships.
- Collaborate with other members of the Legal Team to ensure consistency in legal advice across CONMED.
- Work independently, with attention to detail.
- Provide sound judgment and have the ability to analyze large amounts of information, identify relevant issues and risks, and propose viable solutions.
- Function with a high degree of professional ethics and integrity.
- Ability to apply legal knowledge and insight to all parts of the business.
- Strong organizational skills to manage multiple priorities in a fast-paced environment.
Minimum Qualifications
- JD from an accredited School of Law
- License to practice law from a state Bar Association and eligibility for in-house exemption.
- 4+ years experience of legal experience
- Experience in working with applicable laws and regulations, with an emphasis on FDA, Compliance (US and Global) and Commercial Contract Law
- Excellent legal analytical and drafting abilities
Preferred Qualifications
- At least 4-6 years of legal experience with a portion of that as in-house corporate counsel in a commercial business environment or nationally prominent law firm
- Prior experience as in-house counsel with medical device company or life sciences
- Prior experience with data privacy and cybersecurity laws

- Ability to communicate clearly and concisely, both orally and in writing, to analyze legal materials and other data, provide realistic risk assessments, and provide practical advice to business partners and stakeholders
