Provides legal advice and expertise on commercial contracts, employment matters and adjacent matters related to business risk. Works collaboratively with business leaders and human resources to meet business objectives and address risk considerations. Leads a team which includes contract analysts and a risk professional. Researches, analyzes and interprets proposed and existing laws, statues and regulations. Identifies, evaluates and addresses issues of legal risk. Structures, drafts, negotiates and/or approves legal documents. May represent/advocate for the company in litigation, arbitration, mediation or other disputes with courts, government agencies, or other legal authorities. Consults with external legal counsel on complex legal issues. ESSENTIAL RESPONSIBILITIES

* Lead activities and support team drafting, negotiating, and administering all aspects of commercial contractual agreements from request for proposal through life of contract: o SaaS and other software licensing agreements o Master service agreements (MSAs) o Statements of work (SOWs) o Professional services agreements o Vendor agreements o Non-Disclosure Agreements o Teaming Agreements * Serve as a trusted advisor to internal stakeholders, including IT, Finance, and Business Operations teams, on legal and risk considerations. * Collaborate with cross-functional teams to ensure contracts align with internal policies and risk tolerance. * Maintain and update contract templates and negotiation playbooks to reflect evolving legal requirements and business needs. * Monitor regulatory and industry developments impacting technology and data-driven contracts, such as data privacy and cybersecurity. * Assist in the development and implementation of policies and procedures related to third-party risk and contract lifecycle management. Employment Law Counseling (40%)
* Support Human Resources and management by providing employment law services on a wide array of employment law issues across multiple states and municipalities. * Provide practical advice and proactive counseling regarding employment issues such as those relating to alleged discrimination, disability accommodation, hiring, performance management and discharge, wage and hour, wrongful termination, employee privacy, non-compete agreements, protection of trade secrets, Title VII, EEO, OFCCP, SCA, ADA, ADEA, FMLA, FCRA and FLSA. * Work with Human Resources and management to review policies and develop proactive employment practices. * Stay abreast of new employment laws and trends and reports on them to Human Resources and management, as appropriate. * Conduct legal research and prepare written opinions on that research. * Manage litigation, government agency investigations and administrative charges. * Direct and oversee investigations of employee claims and complaints. * Represent the company in hearings, government inquiries and investigations (e.g., OFCCP, Department of Labor and EEOC). * Work with HR to resolve employee relations issues, including complex employment disputes, disciplinary actions and terminations. * Support efforts in response to audits and subpoenas, litigation and ethics investigations. * Develop and teach training modules on relevant subjects. eLearning and training program (10%)
* Accountable for oversight of a variety of support for development of Company web-based training. * Accountable for eLearning platform administration and curricula development. * Oversee GuideWell Source Management Training Program for new and aspiring leaders. Risk Management and Business Continuity (10%)
* Oversee risk management and business continuity professional responsible for implementing programs compliant with customer requirements. Performs other duties as the supervisor may, from time to time, deem necessary.
REQUIRED QUALIFICATIONS
* Juris Doctorate degree from accredited law school. * Active membership in state bar and ability to be admitted as Florida Authorized House Counsel. * 5+ years related work experience as an attorney, to include experience drafting and negotiating commercial agreements, experience with employment law matters, and direct supervisory/project management lead or other leadership experience. * Solid understanding of key legal issues in commercial transactions, such as limitation of liability, indemnification, service level agreements (SLAs), and intellectual property. * Solid understanding of employment law. * Ability to work in a fast-paced, conflicting priority, high-output, team oriented, practical environment. * Ability to evaluate and determine appropriate legal course of action to meet business unit needs. * Ability to provide legal, sound, proactive, fact-based advice and judgment, * Familiarity with data privacy laws and data protection obligations. * Business-oriented mindset with a pragmatic approach to legal problem-solving. * Exceptional written and verbal communication skills. * Strong analytical, organizational, and interpersonal skills * Ability to manage multiple projects and priorities, follow through, and meet deadlines. * Strong computer skills with the ability to use a variety of computer software. PREFERRED QUALIFICATIONS
* General business experience * Knowledge of contract management tools and platforms (e.g., Ironclad, DocuSign CLM). Requirements
The Federal Government and the Centers for Medicare & Medicaid Services (CMS) may require applicants to have lived in the United States for a minimum of three (3) years out of the last five (5) years to be employed with the Company. These years of residence do not have to be consecutive.
