Join Our Team as a Senior Director - Divestiture Delivery!

We are seeking a dynamic and experienced professional to lead our carve-out & divestiture initiatives and drive strategic growth within our organization.

PRIMARY DUTIES AND RESPONSIBILITIES:

  • Develop and Refine Carve-Out and Divestiture Standards: Lead the development of carve-out and divestiture standards, processes and approach. Finalize the process across the deal lifecycle by partnering with cross-functional stakeholders. Implement comprehensive tech stack, tools and templates.

  • Carve-Out and Divestiture Program Management Excellence:Ensure effective planning, execution, and monitoring of carve-out and divestiture projects, applying best practices in project management to deliver results on time and within budget. Ensure maximized value while minimizing risks and disruptions to the organization.

  • Corporate Development Support: Partner with Corporate Development early in the deal lifecycle to ensure successful execution of divestiture transactions.

  • Cross-Functional Support:Collaborate closely with various departments-including finance, operations, HR, IT, and commercial teams- to manage divestiture complexities, ensuring compliance with regulatory and contractual requirements

  • Stakeholder Engagement:Actively engage with key stakeholders, including executive leadership, to provide updates on carve-out and divestiture progress, address challenges, and ensure stakeholder alignment and support. Present progress and recommendations to senior leadership team(s) and board, ensuring clear communication of corporate development initiatives and outcomes.

  • Risk Assessment and Mitigation:Identify potential risks associated with carve-out and divestiture projects and develop proactive strategies to mitigate these risks, maintaining project momentum and focus.

EXPERIENCE AND EDUCATIONAL REQUIREMENTS:

  • Bachelor's degree in Business, Finance, Economics, or a related field (MBA or advanced degree preferred).

  • 10+ years of directly-related or relevant experiencein divestitures, M&A, corporate strategy, or a combination of these areas.

  • Experience within the pharmaceutical, healthcare, or related industries preferred.

  • Experience managing and negotiating TSAs (Transitional Service Agreements) strongly preferred.

  • PMP or similar project management certification is a plus.

MINIMUM SKILLS, KNOWLEDGE AND ABILITY REQUIREMENTS:

  • Demonstrated experience with healthcare systems and pharmaceutical supply chains.

  • Proven track record of leading complex divestiture transactions from strategy through execution, demonstrating strong leadership and organizational skills.

  • Experience working across global markets and understanding of cross-border transaction complexities is a plus.

  • Strong understanding of program management methodologies, tools, and best practices.

  • Excellent interpersonal and communication skills, with the ability to engage and influence stakeholders at all levels of the organization.

  • Problem-solving skills, with a keen attention to detail and the ability to navigate ambiguity.

  • Ability to manage multiple projects simultaneously and deliver results in a fast-paced environment.

  • Deep knowledge of valuation methodologies, financial modeling, and due diligence processes related to M&A activities.

  • Strong financial analysis skills, including proficiency in budgeting, forecasting, and financial reporting.

  • Excellent verbal and written communication skills, with the ability to present complex ideas clearly to senior leadership and external stakeholders.

  • Demonstrated experience in preparing reports and presentations for senior leadership including executive leadership. Experience presenting decks for BoD a plus.

  • Robust organizational skills to manage multiple projects simultaneously and deliver results within deadlines.

  • Critical thinking and analytical skills to identify issues and develop effective solutions in a fast-paced environment.
