The Associate Counsel will contribute pragmatic, collaborative and business-minded legal counsel in furtherance of US WorldMeds' overall mission. The Associate Counsel will be primarily responsible for reviewing, drafting, negotiating, and managing a wide variety of contracts and legal documents that support the Company's operations. This role ensures compliance with legal standards and company policies while mitigating risk and protecting the company's interests. While the core focus will be on commercial agreements, the role offers the opportunity to develop and expand into other areas of in-house legal practice as business needs evolve. - Negotiate, review and draft a wide variety of agreements, including supply agreements, licensing agreements, vendor and service contracts, clinical study agreements, research collaborations, confidentiality agreements, and consulting agreements.
- Provide clear and practical contract interpretation and legal guidance to internal stakeholders, ensuring alignment with business objectives and compliance with applicable laws and regulations.
- Collaborate with cross-functional teams, including manufacturing, supply, clinical, procurement, regulatory, finance, and IT, to support operational and strategic initiatives.
- Maintain and update contract templates, playbooks, and negotiation guidelines.
- Identify and manage legal risks in contractual relationships, proposing practical solutions.
- Support the development and implementation of contracting processes and systems to enhance efficiency and compliance.
- Assist with contract lifecycle management, including organization, request intake, execution, tracking, renewal, and termination processes.
- Assist in other legal matters as needed, which may include corporate governance, intellectual property support, regulatory matters, employment law, or dispute resolution.
EDUCATION & CERTIFICATION:
- Juris Doctor (JD) from an ABA-accredited law school required.
- Member in good standing in at least one U.S. state bar.
QUALIFICATIONS:
- 2-4+ years of relevant legal experience, with a demonstrated focus on contract law and transactional work.
- Excellent legal writing, negotiation, and analytical skills.
- Strong understanding of business and contract law; general understanding of intellectual property law concepts.
- Understanding and knowledge of U.S. healthcare and life sciences laws and frameworks including the FDA, the False Claims Act, Anti-Kickback Statute, and the Food, Drug and Cosmetic Act, is a plus.
- Experience with contract management systems is a plus.
