Description
Associate Counsel Commercial M&A ATSG is seeking a highly skilled and business-savvy Associate General Counsel - Commercial & M&A to lead legal support for commercial transactions, customer contracts, procurement, and strategic growth initiatives. This role is critical to enabling ATSG's continued expansion in a private equity-backed, high-growth environment, and will serve as a key legal partner to sales, business development, finance, and executive leadership. This is a primarily onsite role based at ATSG's headquarters in Wilmington, Ohio. To support flexibility and work-life balance, up to four remote workdays per month may be approved based on business needs and performance. Key Responsibilities
- Lead legal review, negotiation, and execution of complex commercial agreements, including:
- Aircraft leases
- Charter agreements
- Air transportation services agreements
- Customer contracts and procurement agreements
- Joint ventures and M&A transactions
- Provide business-oriented legal advice with minimal reliance on outside counsel, demonstrating sound judgment and deep transactional expertise.
- Ensure clarity, consistency, and strategic alignment in legal support across all business units.
- Drive a culture of speed, transparency, and accountability, positioning legal as a proactive business partner.
- Collaborate closely with finance, operations, and executive teams to support deal execution and growth initiatives.
- Support contract lifecycle management improvements and process optimization.
- Manage outside counsel relationships for commercial and transactional matters, ensuring cost-effective, high-quality outcomes.
Qualifications
- J.D. from an accredited law school and active bar membership in good standing.
- Minimum 5+ years of legal experience, with a strong preference for top-tier law firm training in commercial transactions and M&A.
- Proven ability to work independently and handle complex legal matters without heavy reliance on external counsel.
- Experience in a private equity-backed or high-growth company is a strong plus.
- Excellent judgment, communication, and stakeholder management skills.
- Ability to thrive in a fast-paced, evolving environment with a hands-on, team-oriented approach.
