Davis Wright Tremaine LLP is seeking an experienced M&A due diligence attorney for engagement through the firm's contract attorney and alternative staffing program, DWTSurge. This contract attorney position will assist the Firm's Business & Tax group in supporting corporate transactions and due diligence in Q4 2025. Attorneys must be barred in their state of residence and in a state where the firm maintains an office. Attorneys can work remotely but must maintain West Coast business hours. Attorneys with experience conducting comprehensive due diligence in M&A transactions who are seeking a short-term, flexible engagement are encouraged to apply. Attorneys will be responsible for review and analysis of contracts, corporate governance documents, financial documents, regulatory filings, real estate, IP, litigation matters, and compliance records. Attorneys will also be asked with drafting and negotiating transaction agreements, managing disclosure schedules, and supporting all aspects of the deal process, including closing coordination and document preparation. Candidates can expect to work closely with DWT attorneys as part of a collaborative team, providing high-value legal services to institutional clients. This contract position offers the flexibility of remote work and variable hours dependent on deal activity. Attorneys should be prepared to manage fluctuating workloads, with some weeks requiring minimal work and others demanding up to 40 hours. The selected attorney must be able to adapt to the dynamic nature of M&A workflows and contribute effectively to high-pressure, fast-paced deal environments. While the engagement is for a 3-month contract term, work will vary based on deal activity, and successful candidates may be considered for an extension or additional opportunities in the future. Compensation will be paid on an hourly basis, commensurate with experience and skill level (see below). This role may be eligible for some benefits.
