Allied Universal is hiring a Associate Counsel. The Associate Counsel is responsible for supporting the Legal Services Group and the Allied Universal Technology Services line of business. This team member will work out of the organization's eastern corporate headquarters in Conshohocken, PA and will report to the Vice President - Associate General Counsel. RESPONSIBILITIES: Use independent judgment and discretion in drafting, reviewing, interpreting, and negotiating a variety of contracts and transaction documents, including customer contracts, Requests for Proposal, SaaS, Reseller, Non-Disclosure, General, Subcontractor, and Vendor agreements - Lead contract negotiations and dispute resolutions with customers, vendors, subcontractors, and opposing counsel, balancing risk with business objectives and collaborating with procurement and vendor management to ensure sourcing and contract compliance
- Establish and maintain contract templates, playbooks, protocols, and processes that enhance efficiency, consistency, and scalability associated with executing commercial transactions
- Advise senior leadership and cross-functional teams with strategic legal guidance that align contract and negotiation strategies with key business initiatives and long-term goals
- Develop and strengthen internal policies, procedures, training programs, and strategies to ensure compliance, drive operational excellence, and proactively safeguard the business
- Support compliance with federal, state, and local construction laws and regulations, including licensing, lien law, and safety codes
- Conduct legal due diligence and risk assessments for mergers and acquisitions, draft and review transaction documents, and support post-merger integration while maintaining and updating legal templates, resources, and governance protocols
- Perform other transactional, legal, and regulatory duties as needed
QUALIFICATIONS: - Law degree from an accredited law school and admission to the bar in any jurisdiction
- Minimum of three (3) years of legal experience, including contract negotiation, corporate law, and regulatory compliance
- Strong ability to provide risk assessment and mitigation support, leveraging a solid understanding of general liability insurance, claim handling, indemnification obligations, and project insurance and bond risk management practices
- Excellent written and verbal communication skills, with the ability to convey complex legal and business concepts to management, regulatory bodies, customers, and other stakeholders
- Strong interpersonal and collaboration skills; able to build relationships and influence at all levels of the organization, including with internal clients, external counsel, and government officials.
- Highly organized and detail-oriented, with strong analytical skills and a proactive, problem-solving mindset
- Proven ability to manage multiple priorities and meet deadlines in a fast-paced, dynamic environment
- Self-driven and results-oriented, with the initiative to drive deliverables and ensure alignment across internal and external stakeholders
- Experience working in Outlook, Excel, Word, SharePoint, OneDrive platforms
- Occasional travel to attend meetings, deliver training, etc.
PREFERRED QUALIFICATIONS: - Previous experience conducting audits or investigations
- Previous experience creating or managing contracting processes and workflows
- Experience in or advising service-based industries, including physical security solutions, system licensing and implementation services, or commercial construction
- Legal experience in construction law, with exposure to security systems, low-voltage systems, or other technical and engineering-related construction fields
- Project management and Smart Sheet experience
