As we continue to scale, we're seeking aCorporate Counsel to join our high-growth tech company. This role offers a unique opportunity to work cross-functionally, providing strategic legal counsel on corporate governance, M&A, commercial contracts, and intellectual property in a fast-paced, transformative environment.

What You'll Do

Contract Drafting & Negotiation: Draft, negotiate, and review complex commercial contracts, including software licensing agreements, SaaS agreements, NDAs, real estate leasing, partnership agreements, and other legal documents. Advise on intellectual property matters, including software licensing, patent, and trademark matters, and IP-related disputes.

Corporate Governance & Legal Advisory: Provide expert legal advice and counsel on corporate governance, mergers and acquisitions and other corporate matters. Support corporate compliance programs and advise on internal policies, ensuring alignment with applicable laws and governance regulations. Work closely with cross-functional teams (finance, HR, product, and marketing) to assess and mitigate legal risks. Represent the company in external legal matters and regulatory investigations. Stay updated on changes in corporate law and governance regulations and inform relevant stakeholders. Mentor and guide junior legal team members and provide support for departmental initiatives.

Legal Operations and Process Management: Provides leadership and support in intradepartmental problem-solving and conflict resolution. Oversees and manages day-to-day legal operations, including matter management, contract administration, and document management systems. Conducts in-depth legal research and analysis of laws, regulations, and precedents to inform cases, transactions, and projects, delivering clear summaries and actionable recommendations. Prepares and maintains legal documents, contracts, and correspondence with accuracy and confidentiality. Develops, implements, and refines processes and standard operating procedures to enhance operational efficiency. Identifies and integrates tools and technologies to optimize workflows and improve productivity. Manages legal databases and repositories, ensuring the accurate, secure, and organized storage of all legal documentation.

Strategic Transactions & M&A Support: Support strategic transactions, including mergers, acquisitions, investments, joint ventures, and corporate restructurings. Provide legal counsel on strategic transactions to ensure compliance and risk mitigation.

What We're Looking For:



  • 2-4 years of legal experience, preferably with in-house experience at a technology or software company.
  • Juris Doctor (JD) from an accredited law school and admission to at least one state bar.
  • Experience in corporate governance, M&A, and software licensing.
  • Demonstrated ability to work effectively with senior leadership and cross-functional teams preferred
  • Experience with international legal matters, including cross-border transactions and compliance preferred.
  • Familiarity with privacy laws (e.g., GDPR, CCPA) and data security regulations preferred.
  • Familiarity with AI governance and best practices preferred.
  • In-house experience at a high-growth private or public technology company preferred.
  • Ability to integrate legal into broader business strategy and decision-making processes preferred. Collaborate to establish continuous processes for legal compliance, risk management, and policy updates preferred.

PAID TIME OFF: Paid holidays, as well as 4 weeks of annual paid time off are provided. The annual paid time off increases one week every five years.
