The Opportunity

The position will provide commercial and transactional legal support to TC Energy's U.S. Natural Gas Pipelines business, including the Business Development, Corporate Development, Commercial Operations, and Regulatory teams. The scope of work encompasses a wide range of sophisticated transactional and commercial matters involving the development of new pipeline infrastructure, operation of the Company's existing pipeline systems, and strategic transactions to optimize the Company's asset portfolio. This position will report to the Director of Business Development and Projects Law in the U.S. Natural Gas Pipelines Law department.

What you'll do

  • Advise business teams, including senior leaders, concerning transactional matters, potentially including (but not limited to) formation and governance of joint ventures, structured transactions, and asset acquisitions and divestitures

  • Advise business teams, including senior leaders, on legal considerations relevant to business development initiatives such as pipeline system expansions, greenfield projects, and interconnections

  • Negotiate and draft commercial and operational agreements, including letters of intent, term sheets, precedent agreements, purchase and sale agreements, facility and interconnect agreements, funding agreements, credit support agreements, and confidentiality agreements

  • Develop and refine standardized contract forms and department procedures

  • Collaborate with internal stakeholders and subject matter experts from legal and non-legal disciplines to assess and mitigate risks

  • Supervise external legal counsel within approved budget limits

Minimum Qualifications:

  • Undergraduate degree from an accredited college or university

  • Juris Doctorate from an ABA-accredited law school

  • Active license to practice law in the U.S.

  • Minimum four years of relevant legal experience*

  • Ability to analyze complex matters in a proactive manner, focusing on actionable, business-oriented solutions

  • Ability to work as a trusted partner to the business, collaborating across the Legal team and other departments to achieve shared goals and navigate risk consistent with operational and strategic priorities

  • A growth mindset and desire to embrace learning in all aspects of your work with curiosity and creativity, building capabilities as needed to meet evolving needs and opportunities

Preferred Qualifications:

  • General understanding of the natural gas pipeline business

  • Experience handling transactional matters in the energy sector, including but not limited to acquisitions and divestitures, joint ventures, and general corporate matters
