Summary: This position focuses on providing transactional and regulatory legal support to Benchmark Electronics, Inc. and its affiliates (the "Company"), with a strong emphasis on government contracting and related compliance obligations. The Corporate Counsel will support the negotiation and drafting of customer, vendor, and subcontractor agreements, assist with risk identification and mitigation, and provide practical legal advice to internal business stakeholders. The role requires sound judgment, attention to detail, and the ability to collaborate effectively across functions. The Corporate Counsel works under the direction of the Sr. Corporate Counsel works under the direction of the Sr. Corporate Counsel and other senior leaders and supports the Company's operations by delivering timely, business-oriented legal guidance. Responsibilities: Transactional Support
- Drafts, reviews, and negotiates a variety of commercial contracts, including customer agreements, vendor agreements, NDAs, and subcontractor agreements under the supervision of senior attorneys.
- Provides legal support on matters involving U.S. government contracts, including flow-down clauses, FAR/DFARS compliance, and contract risk assessment.
- Assists in advising internal teams on contract terms, legal risks, and compliance considerations.
- Supports contract interpretation and resolution of contractual issues that arise during contract performances well as other general transactional and corporate matters as necessary.
Government Contracting and Compliance
- Assists with legal review of proposals, bid documents, and related government contracting materials.
- Supports compliance with applicable federal, state, and international laws and regulations impacting government and commercial contracts.
- Helps develop and update policies, procedures, and training related to government contracts and regulatory compliance.
Litigation, Claims, & Corporate Support
- Assists senior attorneys with the investigation and resolution of claims and disputes, including coordination with outside counsel when appropriate.
- Assists with corporate and strategic transactions, including acquisitions, divestitures, and other corporate initiatives, as needed.

Education / Experience:
*A Juris Doctorate (JD) from an accredited college or university.
*Licensed to practice law and in good standing with at least one U.S. jurisdiction.
*Three plus years of experience practicing law, preferably in corporate, commercial, or government contracting matters.
*Government contracting experience is highly preferred, whether gained in-house, at a law firm, or in a government setting.
*Experience interacting with cross-functional business partners and outside counsel.
Skills
- Familiarity with government contracts and regulatory requirements (FAR/DFARS).
- Familiarity with commercial contracting and contract interpretation.
- Familiarity with intellectual property issues in a commercial or government contracting context.
- Familiarity with dispute resolution and claims management.
- Strong written and verbal communication skills.
- Ability to manage multiple priorities in a fast-paced environment.
- Solid business judgement and a practical, solutions-oriented approach to legal issues.
