Legal Counsel - Software and Technology

Location: New York, NY | Hybrid

This Legal Counsel role partners closely with Sales leadership and cross-functional teams across the region, providing strategic legal support throughout the full sales cycle, including drafting, reviewing, and negotiating software, SaaS, professional services, and partner agreements. You will advise on commercial, public sector, compliance, and corporate matters, contribute to process and template improvements, and build strong relationships across the organization.

What You Will Get To Do:

  • High-profile role supporting Sales leadership and the wider Sales team across the region, with frequent exposure to enterprise customers and partners.
  • Drafting, reviewing and negotiating documentation to support the full sales cycle: including:
    • NDAs; evaluation agreements; software license and support agreements; SaaS subscription agreements; data privacy and information security agreements; professional services agreements/SOWs; and sales order documentation.
    • Agreements with alliance/channel partners and technology partners.
  • Drafting, reviewing and negotiating contracts with vendors, including marketing suppliers and other general commercial contracts.
  • Advising, as required, on any other legal matters affecting the regional and wider business, including disputes and litigation, regional aspects of compliance programs, finance matters (e.g. debt collection/enforcement), and corporate reorganization activities.
  • Preparing and contributing to the improvement of templates, playbooks and departmental processes.
  • Advising on the application of SS&C group policies and internal approval processes.
  • Training Sales teams on legal topics, policies and processes.
  • Potential involvement in new go-to-market contracting models, new product initiatives, and the activities of other SS&C group business units, as required.
  • Participating in, and promoting, the initiatives and objectives of the SS&C group legal function.
  • Supporting deals for other SS&C software business units, as required.
  • Building strong working relationships with Sales leaders, and with regional and global corporate functions.
  • Standard-bearer for ethics and compliance.
  • Instructing and supervising external counsel, where required.

What You Will Bring:

  • Juris Doctor (JD) degree and active membership in good standing in at least one U.S. state Bar (New York preferred).
  • 3+ years of in-house legal experience, preferably in software or technology.
  • Experience supporting sales teams, Professional Services, Product, or indirect/reseller business models.
  • 3+ years drafting and negotiating B2B SaaS and software licensing agreements.
  • Knowledge of laws, regulations, and policies relevant to contracting with U.S. federal, state, and local government clients.
  • Experience advising and influencing senior executives with confidence.
  • Public sector experience in the U.S. and/or Canada is a plus; commercial contracting experience required.
  • Experience transacting in Latin American markets and/or Spanish or Portuguese language skills a plus.
