Mission of the Role

***This position is based in our SICK, Bloomington MN campus. The person will work in office four days a week and may work remotely the other day.

The Corporate Legal Counsel II provides legal guidance and support on a broad range of business matters for SICK's U.S., Canadian, and Mexican entities. This role partners with internal stakeholders to draft and negotiate commercial agreements, advise on legal and compliance issues, resolve disputes, and support business operations while mitigating risk. The Corporate Legal Counsel II operates with a high degree of independence and sound judgment in a dynamic, fastpaced environment.

Key Responsibilities

Commercial Contracts & Transactions

  • Draft, review, and negotiate a wide variety of complex commercial contracts, including master goods and services agreements and other customer, vendor, and partner contracts.
  • Manage a high volume of transactional work while balancing business objectives and legal risk.
  • Draft contract provisions and negotiate terms covering a range of commercial and transactional matters.
  • Support processes related to contract lifecycle management, ensuring proper documentation flow, approvals, and internal compliance.
  • Participate in internal meetings and presentations to offer legal counsel.

Legal Advisory & Compliance

  • Advise leadership and employees on a broad spectrum of legal topics impacting business operations.
  • Conduct legal research on commercial, employment, international, and other relevant legal topics.
  • Provide legal and compliance support, including facilitating training on relevant topics.

Dispute Resolution & Risk Mitigation

  • Investigate and manage customer disputes, providing recommendations and resolutions to support business continuity.
  • Identify legal risks and propose mitigation strategies aligned with business goals.

Cross-Functional Collaboration

  • Participate in internal meetings and presentations as appropriate.
  • Work collaboratively across teams, including remote environments.

Perform other duties as may be assigned or required by management.

Key Qualifications
  • Experience: 5-7 years of experience in a law firm or corporate legal department.
  • Education: Juris Doctorate (J.D.) from ABA Accredited law school and active legal licensure in the United States.
  • Position-specific Qualifications:
    • Demonstrated experience drafting and negotiating complex commercial agreements, preferably in manufacturing or technology contexts.
    • Knowledge of legal issues in complex business transactions, particularly those affecting the manufacturing and technology industries.
    • Experience advising on applicable state and federal laws and implementing riskmitigation strategies.
    • Ability to handle matters independently with limited oversight.
    • Superior written and verbal communication skills.
    • High ethical conduct and integrity.
    • Strong legal research and writing capabilities.
    • Strong organizational and factgathering skills.
  • Computer/Technological: Professional competence with Microsoft Office and online research tools. Computer use more than 4 hours per day.
  • Language: Professional written and spoken fluency in English required.
  • Schedule: Generally Monday to Friday, full time; be on-call on some weekends (if required).
  • General Working Conditions: Be able to usually work in an office environment; flexible (hybrid) work arrangements available.
  • Travel: Be able to travel up to 10% of the time, including internationally; must have a valid passport.
  • Work Status: Legally permitted to work in the country you are applying and willing to undergo an employment background check.
Compensation

The base salary is one part of our Total Rewards package and is determined within a range. The starting base salary range for this position is listed below; the actual starting salary will be based on a variety of factors including experience, skill set, education, performance, licenses/certifications, business needs and other job-related factors, as permitted by law.

  • Starting Base Annual Salary Range: $101,820 - $154,000
  • Bonus Eligibility: This role is eligible for an annual bonus based on a combination of company and individual performance.
