Position Overview:
Seeking a Paralegal to support our Corporate Legal team located in Framingham, MA, beginning July 2026. This is an excellent opportunity for a candidate considering law school or finance career in this dynamic industry, position provides hands-on experience of complex transactions in the development and financings of renewable resources.

Responsibilities:

  • Independently support and manage key components of financing, development, M&A, and other corporate transactions, including coordinating transaction deliverables, managing execution processes, and preparing documentation for attorney review and approval.

  • Draft and prepare corporate resolutions, certificates, closing documents, and transaction materials, applying established legal standards and transaction requirements, and proactively identifying issues for escalation to attorneys.

  • Coordinate and oversee routine regulatory filings and compliance activitiesrelated to project permitting and corporate governance, ensuring accuracy, completeness, and adherence to applicable requirements.

  • Manage the organization, structure, and ongoing maintenance of transaction data rooms and corporate records, exercising judgment in document organization, version control, and information accessibility.

  • Develop, implement, and maintain filing, indexing, and archival systemsused as active repositories for ongoing and completed transactions, ensuring consistency and usability across the legal team.

  • Monitor changes in relevant laws, regulations, and government guidance, assess potential applicability to company transactions, and prepare summaries or reports for attorneys and internal stakeholders.

  • Serve as a primary point of coordination with outside counsel, internal development teams, and thirdparty service providerson transaction deliverables, timelines, and documentation requirements.

  • Assist in the preparation and review of securities law filings and related disclosures, supporting compliance with applicable regulatory frameworks.

  • Identify opportunities to improve legal operations and workflows, including the use of technology, AI tools, and contract management systems, and recommend process enhancements to improve efficiency and risk management.

  • Perform other duties as needed in support of the legal department and the development and financing of Ameresco, Inc. projects.

Minimum Qualifications:

  • Bachelor's Degree or equivalent years of related work experience.

Additional Qualifications:

  • Interest in renewable energy and energy efficiency, a plus.

  • Previous corporate paralegal experience or experience in an office setting, a plus.

  • Proficiency with Microsoft Office applications, Word, Excel, PowerPoint and Outlook.

  • Willingness to take initiative, pay attention to detail and be proactive.

  • Excellent communications, writing and proofreading skills.

  • Strong organizational and prioritization skills and ability to balance multiple tasks.

  • Strong project management skills.

  • Ability to work independently and exercise sound judgment.

The anticipated base salary range for this role is $64,000 -$92,500 (presented in good faith). In addition to base pay, employees receive a comprehensive benefits package, such as health insurance, retirement plans, and paid time off, and may be eligible for performance incentives, bonuses, commissions, or equity, depending on the role.

Actual pay will depend on factors such as internal equity, skills, experience, education, certifications, and location. This range supports our commitment to pay transparency and compliance with applicable laws. Compensation may vary by work location, including remote arrangements.
