As In-House Corporate Counsel, you'll play a key role in supporting our business by negotiating and managing commercial agreements, advising on legal and compliance matters, developing policies, resolving disputes, and partnering with leadership on strategic business initiatives. This is an excellent opportunity to gain hands-on experience in a fast-paced technology environment while working closely with our Senior Corporate Counsel on Axway's business.

What We're Looking For

    J.D. from an accredited law school
  • Active membership in good standing with a U.S. state bar
  • At least 2 years of software licensing and commercial contracting experience
  • Strong negotiation, communication, and business partnership skills

What We Offer

  • 6-month contract with the potential to convert to a full-time position based on performance
  • $50-$70 per hour, depending on experience
  • 100% remote opportunity anywhere within the United States
  • Prefer a hybrid environment? We'd love to have you! We also have an office in Scottsdale, Arizona, where you can collaborate in person with our legal team. Our Senior Corporate Counsel is based in Arizona, providing an excellent opportunity for mentorship and close partnership.

Responsibilities

  • Oversees, prepares and negotiates legal documents including software licenses, services agreements, vendor contracts, and nondisclosure agreements.
  • Privacy and security experience with data protection agreements and similar agreements.
  • Manages the legal activities of the company with the objective of protecting the company's interests and providing assistance to managers concerning how laws and regulations impact their functional areas.
  • Manage all documents through the legal process.
  • Prepares and reviews proposed contracts, formal agreements and other legal instruments.
  • Manages license compliance, audits of customers.
  • On a daily basis manages all software licensing activities and software contract activities.

Partners closely with Sales and other internal teams (including Sales, Finance, and Operations) with respect to legal matters and contract disposition.



Qualifications

  • Software licensing and service contract experience, in-house experience a plus.
  • General knowledge of laws and regulations applicable to corporations in general and software companies in specific.
  • Detail oriented.
  • Excellent time management, communications, decision making, presentation, human relations, and organizational skills.
  • Excellent communication skills and ability to work with various levels of company up to and including senior management
  • Strong business acumen and ability to adapt to changing needs of business.
  • Experience with emphasis on software law, IP rights, employment law, and compliance regulations licensing and commercial transactions
  • Knowledge of financial revenue recognition rules

Education

  • All candidates must have JD from an accredited law school and current bar membership.
  • A minimum of 3 years of legal experience
  • Member in good standing of a State Bar - Arizona
