Vice President-General Counsel

Hosokawa provides size reduction systems and powder processing solutions for chemical, pharmaceutical, food, mineral, plastics and cosmetic applications. Throughout our history, we have led the industry in coarse to ultra-fine grinding, classification, mixing, drying, containment, compaction and analytical equipment.

The Vice President - General Counsel serves as the chief legal officer of the Company and a strategic business partner to executive leadership. The Vice President oversees all legal matters including contracts, litigation, regulatory compliance, intellectual property, corporate governance, risk management, labor and employment law compliance, and all Human Resources strategy and operations including employee relations, talent management, benefit plan design, compensation and organizational development.

Essential Duties:

• Provide legal counsel to the CEO, executive team, and Board of Directors.
• Oversee all legal matters including contracts, litigation, regulatory compliance, and intellectual property.
• Lead enterprise risk management initiatives and align insurance programs with operational risk exposure.
• Draft, review, and negotiate commercial, supplier, customer, and employment-related agreements.
• Ensure compliance with state, federal, and international regulatory requirements.
• Direct and oversee HR strategy and operations including employee relations, talent management, benefits, compensation governance, and organizational development.
• Drive leadership development and workforce planning initiatives.
• Lead crisis management related to legal, employee, regulatory, or operational matters.
• Support mergers, acquisitions, integrations, and global growth activities.
• Oversee outside counsel and manage legal and insurance expenditures.

Basic Qualifications:

• Juris Doctor (JD) from an accredited law school.
• 10+ yrs. experience advising executive leadership teams.
• 10+ yrs. experience negotiating complex commercial contracts.
• 7+ yrs. experience managing state and federal regulatory compliance reporting.
• 7+ yrs. experience providing strategic advisement in labor and employment matters.

Preferred Qualifications:

• 7+ yrs. experience in a manufacturing environment with multi-site and global operations.
• 5+ yrs. experience supporting mergers and acquisitions, including due diligence and integration.
• 5+ yrs. experience overseeing enterprise risk management and insurance programs.

Physical Requirements:

• Ability to sit for extended periods of time.
• Ability to move within office and manufacturing environments.
• Occasional standing, walking, and light lifting up to 10 pounds.
• Ability to travel domestically and internationally as required.

Location:

Relocation assistance is not available for this position. Candidates should be able to commute to the work location or independently relocate at their own expense.

Salary/Rate Range:

Target hiring range: $185,000 - $240,000 annually, with flexibility for highly qualified candidates. We do offer a discretionary bonus, executive benefit plan, car allowance, and other employee benefits.

Salaries/Rates will vary and may be above or below this rate commensurate with several factors including experience, education, training, location, and merit.
