Job Description: As a Commercial Contract Attorney at Winston Legal Solutions, you will work on a variety of contracts and diligence matters. The ideal candidate will have substantial experience in drafting, reviewing, and negotiating a wide range of contracts, as well as a solid understanding of contract lifecycle management and due diligence processes. Experience with in-house legal departments or private equity firms is a plus. Key Responsibilities:
- Non-Disclosure Agreements (NDAs):
- Draft, review, and negotiate NDAs relating to private equity transactions and commercial transactions, ensuring alignment with each client's individual requirements and guidelines.
- Commercial Contracts:
- Draft, review, and negotiate a broad range of general corporate commercial contracts, amendments, and terms, including but not limited to Master Service Agreements, sale/purchase of goods, vendor agreements, construction/EPC agreements, and real estate contracts.
- Terms and Provisions:
- Demonstrate a strong working understanding of warranties, indemnities, limitations of liability, IP licenses and indemnities, data privacy requirements, UCC, Incoterms, breach, cure, change procedures, and other relevant contract terms and provisions.
Preferred Experience:
- Contract Lifecycle Management:
- Experience in tracking and managing each aspect of a contract for performance, compliance, and other success factors through every stage of the document's lifecycle - from execution to renewal or expiration.
- Due Diligence:
- Review, evaluate, and summarize data, contract terms, and other details in connection with large commercial transactions, including financial transactions, M&A deals, real estate, and energy projects.
Qualifications:
- Juris Doctor (JD) from an accredited law school.
- Active membership in good standing with the state bar.
- Minimum of 5 years of law practice with substantial experience in contract law.
- Proven ability to draft, review, and negotiate a variety of commercial contracts without reliance on templates.
- Excellent analytical, negotiation, and communication skills.
- Ability to work independently and as part of a team in a fast-paced environment.
- Strong attention to detail and organizational skills.
- In-house legal experience and/or experience with private equity firms is a plus.
Additional Information: Location: Hybrid/Remote Role
The position is open to attorneys in multiple locations with a preference for the D.C. Metro area or Houston, Texas Metro area.
The city/state where the candidate resides will determine whether they will be eligible to work remotely or hybrid.

Estimated Pay Rate: Pay rate varies based on the assignment. Rates range from $40.00 to $100.00 per hour. Plus, OT for any hours over 40. Available Benefits and Perks:
